HUMBLE ISSUES SHARES AS PAYMENT FOR EARN OUTS

The Board of Directors of Humble Group AB ("Humble Group" or the "Company") has today, by virtue of the authorisation from the annual general meeting on 21 May 2025, resolved on an issue and allocation of 2,788,473 shares in the Company. The shares are issued at an average subscription price of approximately SEK 8.48 and are paid by the subscribers by way of set-off against claims on the Company for earn outs pursuant to the share purchase agreements regarding Humble Group's acquisition of the companies. All shares have been subscribed for by the sellers of Amber House Ltd., Bars Production i Gråbo AB, Cool & Candy AB, Delsbo Candle AB, Franssons Konfektyr AB, Fitnessgrossisten AS, Grenna Konfektyr AB and LEV.

Following the issue, the total number of outstanding shares and votes in the Company will increase by 2,788,473, from 446,575,533 outstanding shares and votes to 449,364,006 outstanding shares and votes. The share capital will increase by SEK 613,464.06, from SEK 98,246,617.26 to SEK 98,860,081.3. Consequently, the issue results in a dilution for existing shareholders of approximately 0.62 per cent of the number of outstanding shares and votes in the Company.
