The Management Board of Berg Holding S.A. with its registered office inKatowice [Company, Issuer] in reference to the ESPI current report No.74/2020 of December 4, 2020 on information about formation of theassociated company of the Issuer, informs that today it receivedinformation about registration by the Gdańsk-Północ District Court inGdańsk, VI Commercial Division of the National Register Court, thecompany ELON MOTORS S.A. [Associated company] in the Register ofEntrepreneurs. At the same time the Issuer's Management Board informsthat upon registration of the Associated company in the Register ofEntrepreneurs, ELON MOTORS S.A. has started its operating activity inthe field of production, distribution and sale of electric motorcycles,scooters, kick scooters and bikes in accordance with the developmentstrategy published by the Issuer in the ESPI current report No. 14/2021of Februady 19, 2021. The share capital of the Associated company is100,000.00 PLN and is divided into 1,000,000 A series registered shares.The Issuer took up 210.000 A series registered shares in the sharecapital, accounting for 21% of the share capital and 21% of the votes atthe General Meeting of Associated company. Due to the Issuer's share inthe share capital and voting rights at the General Meeting the ELONMOTORS S.A. is an entity associated with the Issuer.
