Management Board consent to sign an annex to a loan agreement with theEuropean Investment Bank

The Management Board of KGHM Polska Miedź S.A. ("the Company"), inreference to regulatory filing no. 33/2017, announces that on 16 June2021 it consented to sign an Annex to an unsecured loan agreement dated11 December 2017 in the amount of PLN 900 million with the EuropeanInvestment Bank ("the Agreement").

The Annex will increase the amount of the loan granted by the equivalentof PLN 440 million, and therefore the amount of financing under thisAgreement will amount to PLN 1.34 billion. The additional loan in theamount of PLN 440 million will be available for a period of 22 monthsfrom the date of signing the Annex. The loan will be utilised to amaximum of 4 instalments, each of which in the minimum amount equivalentof PLN 110 million. The Company has the option of drawing each of theseloan instalments in PLN, USD or EUR, with either a fixed or variableinterest rate. The additional amount will be a potential reserve, whichmay be used to finance investment projects advanced by the Company.

The remaining terms of the Agreement will not change significantly andwill be standard terms for this type of transaction.

Moreover, the Management Board of KGHM Polska Miedź S.A. announces thatthe Annex is planned to be signed up to 30 June 2021. If the Annex tothe Agreement is not signed up to 30 June 2021, the Company willannounce this fact in a separate regulatory filing.
