Implementation of the share buyback program

As part of the implementation of the current share buyback program of Imerys (the "Company"), as published by the Company on March 26, 2025 and as authorized by the Shareholders' Meeting of May 13, 2025, on June 4, 2025, the Company entered into a share purchase mandate with an investment services provider.

Under the terms of this mandate, a certain number of the Company's shares will be acquired, up to a maximum of 12,775,000 euros, at a price not exceeding the price set by the Company's Annual General Meeting, over a period ending no later than October 31, 2025.

In accordance with the current share buyback program, the purpose of the share buyback program is to implement and cover bonus share allocation plans, as well as any allocations of shares under shareholding plans set up by the Company (or similar plans) or under profit-sharing schemes, to employees, former employees and/or corporate officers of the Company and/or companies affiliated to it under Articles L. 225-180, L. 225-197-2 and L. 233-16 of the French Commercial Code, within the framework of the legal schemes in force or ad hoc plans set up by the Company.
