# **2. Sabiedrības komercdarbības veidi saskaņā ar NACE**

2.1. Sabiedrības galvenais komercdarbības veids ir fondu pārvaldīšana (6630).

## **3. Pamatkapitāls 3. Share capital**

- 3.1. Sabiedrības pamatkapitāls ir 5 061 225 EUR (pieci miljoni sešdesmit viens tūkstotis divi simti divdesmit pieci eiro).
- 3.2. Sabiedrības pamatkapitāls sadalīts 5 061 225 (pieci miljoni sešdesmit viens tūkstotis divi simti divdesmit piecas) akcijās.
- 3.3. Vienas akcijas nominālvērtība ir 1 EUR (viens eiro). 3.3. The nominal value of one share is 1 EUR (one euro).
- 3.4. Visas akcijas ir vienas kategorijas akcijas, kas dod vienādas tiesības uz dividendes saņemšanu un balsstiesībām akcionāru sapulcē.
- 3.5. Visas akcijas ir dematerializētas akcijas. 3.5. All shares are dematerialized shares.
- 3.6. Sabiedrības valde uz laiku līdz 5 (pieciem) gadiem ir pilnvarota palielināt Sabiedrības pamatkapitālu, emitējot jaunas Sabiedrības akcijas apjomā līdz 700 000 (septiņi simti tūkstoši) akcijām, atbilstoši Komerclikuma 249. panta 4. daļas noteikumiem.

4.1. Sabiedrības valde sastāv no 3 (trīs) valdes locekļiem. Sabiedrību pārstāvēt var jebkuri divi valdes locekļi kopīgi.

5.1. Sabiedrības padome sastāv no 5 (pieciem) padomes locekļiem.

6.1. Akcionāram ir tiesības piedalīties vai balsot akcionāru sapulcē, izmantojot elektroniskos saziņas līdzekļus. Valde ir deleģēta noteikt prasības akcionāru identifikācijai un kārtību, kādā akcionāri var izmantot šīs tiesības.

1.1. Sabiedrības firma ir IPAS "Indexo". 1.1. The firm name of the company is IPAS "Indexo".

# **2. Main types of commercial activities of the Company, according to NACE**

2.1. The main types of commercial activity performed by the Company is – fund management activities (6630).

- 3.1. The share capital of the Company is 5 061 225 EUR (five million sixty-one thousand two hundred twentyfive euros).
- 3.2. The share capital of the Company is divided into 5 061 225 (five million sixty-one thousand two hundred twenty-five) shares.
- 
- 3.4. All shares are shares of the same category, which give equal rights to receive dividends and voting rights at the shareholders' meeting.
- 
- 3.6. The Board of the Company for a period of up to 5 (five) years is authorized to increase the share capital of the Company for the amount up to and not exceeding 700 000 (seven hundred thousand) shares, in accordance with the provisions of Article 249 part 4 of the Commercial Law.

4.1. The Board of the Company consists of 3 (three) members. The company may be represented by any two members of the board jointly.

## **5. Padome 5. Supervisory Board**

5.1. The Supervisory Board of the Company consists of 5 (five) members.

### **6. Akcionāru sapulce 6. Shareholders' meeting**

6.1. The shareholder has the right to participate or vote in the shareholders' meeting through electronic means. The Management Board is delegated to determine the requirements for the identification of shareholders and procedures by which the shareholders can exercise this right.
