ManagementBoard of STARHEDGE S.A. with its registered office in Warsaw(hereinafter also referred to as: _quot;the Issuer_quot; or the _quot;Company), informsthat in connection with:1.adoptionon 30 December 2021 of a resolution at the extraordinary meeting ofshareholders of the Issuer's subsidiary, i.e. SOLARIS HOUSE sp.z o.o.with its registered office in Łódź to increase the company's sharecapital from the current amount of PLN 100,000.00 to PLN 2,100,000.00,through the creation of 40,000 new shares with a nominal value of PLN50.00 each and a total nominal value of PLN 2,000 PLN .000, which wereto be fully acquired by Central Fund of Immovables sp. Z oo based inŁódź in return for a contribution in kind in the form of an organizedpart of the enterprise of Central Fund of Immovables sp.z o.o. with itsregistered office in Łódź, including a group of tangible and intangibleassets, including liabilities, intended for construction activities,separated in the existing enterprise of this company operating under thename of Central Fund of Immovables, with its registered office in Łódź,including, in particular, development, installation, renovation andconstruction and investment projects, along with constructioninvestments in progress intended for sale / sale after their completion,which could also constitute an independent enterprise independentlycarrying out these tasks, hereinafter referred to as _quot;Organized Part ofthe Enterprise_quot; or _quot;ZCP_quot; ,2.The submission on December 30, 2021 by Central Fund of Immovables sp.zo.o. with its seat in Łódź, a declaration on the acquisition of theabove-mentioned new shares in the increased share capital of SOLARISHOUSE sp.z o.o. based in Łódź;onDecember 30, 2021, SOLARIS HOUSE sp.z o.o. with its registered office inŁódź, entered into an agreement with the notary public MariuszWróblewski in the form of a notarial deed to transfer the Organized Partof the Enterprise to be covered by Central Fund of Immovables sp.z o.o.based in Łódź, the value of the acquired shares referred to above.Thevalue of the Organized Part of the Enterprise was estimated as atDecember 30, 2021, incl. based on the valuation reports held for thetotal amount of PLN 221,149,250.00, and the excess of the value of thiscontribution over the nominal value of the covered 40,000 shares in theincreased share capital of SOLARIS HOUSE sp.z o.o. based in Łódź, with avalue of PLN 50.00 each, will be transferred in the amount of PLN219,149,250.00 to the supplementary capital of SOLARIS HOUSE sp.z o.o.based in Łódź (agio).
