Immersion Capital LLP z siedziba w Londynie (adres: 15-16 Brooks Mews, London W1K 4DS Wielka Brytania) (dalej: Immersion Capital), działając w imieniu i na rzecz zarządzanego przez siebie funduszu Immersion Capital Master Fund Limited z siedzibą na Kajmanach (Fundusz) oraz w imieniu własnym jako podmiot upoważniony, jako zarządzający, do samodzielnego wykonywania praw głosu z akcji posiadanych przez Fundusz, na podstawie art. 69 ust. 1 pkt 2) ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (dalej Ustawa), niniejszym zawiadamia o zmniejszeniu liczby głosów posiadanych w spółce Inter Cars S.A. z siedzibą w Warszawie (dalej Spółka) poniżej progu 5% ogólnej liczby głosów.

NOTIFICATION PURSUANT TO ART. 69.1.2) OF THE ACT ON PUBLIC OFFERINGS, THE CONDITIONS GOVERNING THE INTRODUCTION OF FINANCIAL INSTRUMENTS TO ORGANISED TRADING, AND ON PUBLIC COMPANIES

Pursuant to Art. 69.1.2) of the Act on Public Offerings, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and on Public Companies (the Act), Immersion Capital LLP, with its registered office in London (address: 15-16 Brooks Mews, London WIK 4DS, United Kingdom) (Immersion Capital) acting in the name and on behalf of Immersion Capital Master Fund Limited with its registered office in the Cayman Islands (the Fund) as the Fund's manager, and in its own name, as the manager authorised to exercise discretionary voting rights over shares held by the Fund, notifies you of having decreased the number of voting rights in Inter Cars S.A., with its registered office in Warsaw (the Company) below the threshold 5% of total number of voting rights.

Stosownie do tresci art. 69 ust. 4 i 4a Ustawy Under Art. 69.4 and 4a of the Act, Immersion Immersion Capital informuje, iż:

1. Zmniejszenie liczby głosów w Spółce poniżej progu 5% ogólnej liczby głosów nastąpiło w wyniku sprzedaży w dniu 15 lutego 2022 r. przez Fundusz reprezentowany przez Immersion Capital 300.000 zdematerializowanych akcji Spółki oznaczonych przez Krajowy Depozyt Papierów Wartościowych S.A. kodem ISIN: PLINTCS00010, w ramach transakcji na rynku regulowanym Giełdy Papierów Wartościowych w Warszawie S.A.

2. Przed zmianą udziału, Fundusz posiadał 2. bezpośrednio 722.061 akcji Spółki uprawniających do 722.061 głosów na walnym zgromadzeniu Spółki, co stanowiło 5,096% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki.

3. 1. Po zmianie udziału Fundusz posiada 3. bezpośrednio 422.061 akcji Spółki uprawniających do 422.061 głosów na walnym zgromadzeniu Spółki, co stanowi 2,978% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki.
4. 1. Zadne podmioty zależne od Funduszu ani 4. Immersion Capital nie posiadają akcji Spółki.
5. 1. Nie występują osoby, o których mowa w art. 5. 87 ust. 1 pkt 3 lit. c. Ustawy.
6. 1. Funduszowi ani Immersion Capital nie 6. przysługują głosy z akcji Spółki, do których nabycia jest uprawniony lub zobowiązany jako posiadacz instrumentów finansowych, o których mowa w art. 69b ust. 1 pkt 1 Ustawy, oraz instrumentów finansowych, o których mowa w art. 69b ust. 1 pkt 2 Ustawy, które nie są wykonywane wyłącznie przez rozliczenie pieniężne.

Capital informs you that:

• the number of voting rights held in the 1. Company was decreased below the 5% threshold as a result of the Fund, as represented by Immersion Capital, having sold on 15 February 2022, 300,000 dematerialised shares identified by the Central Securities Depository of Poland with ISIN code PLINTCS00010, in a transaction on the Warsaw Stock Exchange regulated market.
  • Before the change in its shareholding, the Fund directly held 722,061 shares in the Company conferring 722,061 voting rights, which constituted 5.096% of the overall number of shares and voting rights in the Company.
  • After the change in its shareholding, the Fund directly holds 422,061 shares in the Company conferring 422,061 voting rights, which constitutes 2.978% of the overall number of shares and voting rights in the Company.
    • No subsidiaries of the Fund or Immersion Capital hold any shares in the Company.
    • There are no persons which are referred to in Art. 87.1.3.c of the Act.
  • Neither the Fund nor Immersion Capital is entitled to any voting rights attached to the Company's shares, which the Fund or Immersion Capital is entitled or obliged to acquire as a holder of the financial instruments referred to in Art. 69b.1.1 of the Act and the financial instruments referred to in Art. 69b.1.2 of the Act, which are not exercised solely by cash settlements.
• 1. Funduszowi ani Immersion Capital nie 7. przysługują głosy z akcji Spółki, do których w sposób pośredni lub bezpośredni odnoszą się instrumenty finansowe, o których mowa w art. 69b ust. 1 pkt 2 Ustawy.
• 1. Łączna liczba głosów przysługujących 8. Funduszowi, jako właścicielowi akcji Spółki, oraz Immersion Capital, jako zarządzającemu Funduszem, na walnym zgromadzeniu Spółki wynosi 422.061 głosów, co stanowi 2,978% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki.
• Neither the Fund nor Immersion Capital is entitled to any voting rights attached to the Company's shares, to which the financial instruments referred to in Art. 69b.1.2 of the Act refer directly or indirectly.

The total number of voting rights to which the Fund, as owner of the Company's shares and Immersion Capital, as the Fund's manager, is entitled is 422,061 voting rights in the Company, which constitutes 2.978% of the overall number of shares and voting rights in the Company.
