Title: Agreement signed by the Issuer with the University of Bresciarelating to strategic cooperation in the field of new generationbioelectronics

The Management Board of XTPL S.A. ("Company_quot;, "Issuer") reports that on22 March 2022 it signed a strategic cooperation agreement with theDepartment of Information Engineering (Dipartimento di Ingegneriadell'Informazione - DII) from the University of Brescia in Italy(UniBs). The purpose of the cooperation is to work together ondevelopment of new generation organic and biodegradable biologicalsensors using the Company-developed electronics printing technology.

As part of the agreement, the Company will ensure technological andexpert support relating to its proprietary technology and the DeltaPrinting System. On the other hand, the DII will provide XTPL withinformation on the results of its work and outcomes of microproductionof printed biosensors integrated with 3D, adaptable, and flexiblesubstrates. The information will be based on feedback received fromindustry partners. In addition, results of the research will bepublished in publicly available scientific articles and presented at themost important international scientific conferences.

The Management Board has decided that the start of cooperation with theDII is inside information due to its significant value for the Company'sdevelopment, stemming from exploration of a new application field, i.e.the biosensor industry. Application of the Company's technology in workon next-generation biological sensors and the popularization of thesesolutions by the DII in scientific and industrial communities may have asignificant impact on the Issuer's future income position.

Accordingly, for the reasons described above, in the Management Board'sopinion the information disclosed in this current report meets thecriteria of inside information within the meaning of Article 7(1) MAR.
