The Management Board of XTPL S.A. ("Issuer", "Company", "XTPL") reportsthat on 5 April 2022 an agreement was signed between the Issuer and theUS company nScrypt, Orlando, Florida ("nScrypt"), providing for the saleof conductive nanopaste CL85 developed and produced by XTPL("Agreement").

Under the Agreement, the nanopaste produced by the Issuer will bedistributed by nScrypt to its customers under the nScrypt brand.

Since 2002, nScrypt has designed and manufactured high-precisionmicrodispensing equipment for printed electronics, electronicspackaging, solar cell metallization, communications, 3D printing andbioprinting. Its customers include military, academic and researchinstitutes, government agencies and national labs, as well asprivately-owned technology corporations. NScrypt technological solutionsare used by manufacturers from the medical, defense and space sectors.

The commencement of the Company's cooperation with the US manufacturerin relation to the sale of Ag Nanopaste CL85 confirms the marketpotential for the conductive materials produced by the Issuer. TheAgreement may have a significant impact on the Company's futurefinancial results.

Accordingly, in the Management Board's opinion, the information onconclusion of the Agreement meets the criteria of inside informationwithin the meaning of Article 7(1) MAR.
