Further to the current report no. 9543/12.06.2025, Infinity Capital Investments S.A. informs its shareholders and investors that it has concluded the Share Sale Agreement no. 9771/18.06.2025, through which it has fully transferred its holding of 1,754,221 shares in Complex Hotelier Dâmbovița S.A., representing 99.9998% of the share capital of this company.

The transfer of ownership of the share package issued by Complex Hotelier Dâmbovița to the buyer shall take place after obtaining authorization from the Commission for the Examination of Foreign Direct Investments (CEFDI).

By the date of signing the aforementioned Agreement, Infinity Capital Investments S.A. had partially collected the amount of 8,000,000 lei, with the remaining 4,000,000 lei to be paid within a maximum period of 17 months from the date of the transfer, in equal monthly instalments, each due on the 25th day of each month, starting with the first month in which the ownership of the Shares is transferred.
