FORMER SHAREHOLDER NOTIFICATION

Acting as a sole representative of Youngtimers Asset Company AG, with its registered office in Basel (Elisabethenstrasse 18, 4051 Basel, Switzerland), entered in the commercial register kept by the Commercial Register Office of the Canton Basel-Stadt under the number CHE-245.377.270 (hereinafter: "Youngtimers AC"), pursuant to art. 69 sec. 1 point 2 of the Act of July 29, 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies (hereinafter: the "Act"), I inform that Youngtimers AC's share in the total number of votes in the company Gremi Media S.A. with its registered office in Warsaw (ul. Prosta 51, 00-838 Warsaw), entered in the National Court Register under KRS number: 0000660475 (hereinafter referred to as the "Company"), fell below the 5% threshold.

Działając jako uprawniony do jednoosobowej reprezentacji spółki Youngtimers Asset Company AG z siedzibą w Bazylei(Elisabethenstrasse 18, 4051 Bazylea, Szwajcaria), wpisanej do szwajcarskiego rejestru handlowego, prowadzonego przez Urząd Rejestru Handlowego dla Kantonu Basel-Stadt pod numerem CHE-245.377.270 (dalej jako: "Youngtimers AC"), na podstawie art. 69 ust. 1 pkt 2 Ustawy z dnia 29 lipca 2005 roku o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (dalej jako: "Ustawa") zawiadamiam, że udział Youngtimers AC w ogólnej liczbie głosów w spółce Gremi Media S.A. z siedzibą w Warszawie (ul. Prosta 51, 00-838 Warszawa), wpisanej do Krajowego Rejestru Sądowego pod numerem KRS: 0000660475 (dalej jako: "Spółka") spadł poniżej progu 5 %.

Zbycie przez Youngtimers AC na rzecz Youngtimers AG z siedzibą w Bazylei (Elisabethenstrasse 18, 4051 Bazylea, Szwajcaria), wpisanej do szwajcarskiego rejestru handlowego, prowadzonego przez Register Office of the Canton Basel-Stadt under the number CHE-101.017.162 on 17 October 2022 under a sale agreement.

2. Number of shares held before the change in the equity interest and their percentage share in the company's share capital and the number of votes attached to these shares and their percentage share in the total number of votes

As of 16 October 2022, Youngtimers AC held 117,486 series B shares, representing 6.6 % of the Company's share capital and 117,486 votes (5.00004 % of the total number of votes).

3. The number of currently owned shares and their percentage share in the Company's share capital and the number of votes attached to these shares and their percentage share in the total number of votes:

Currently, Youngtimers AC holds no shares of the Company.

4. Subsidiaries of the notifying shareholder, holding the Company's shares.

Currently, none of Youngtimers AC's subsidiaries holds any shares of the Company.

5. The persons mentioned in art. 87 sec. 1 point 3 let. c of the Act:

The number of votes from shares, calculated pursuant to art. 69b sec. 2, to whose acquisition they are entitled or obliged as a holder of financial instruments referred to in Article 69b sec. 1 pt 1, as well as financial instruments referred to in Article 69b sec. 1 pt 2 which are not exercised solely by cash settlement, Urząd Rejestru Handlowego dla Kantonu Basel-Stadt pod numerem CHE-101.017.162 117.486 akcji Spółki serii B w dniu 17 października 2022 r. na podstawie umowy sprzedaży.

Na dzień 16 października 2022 Youngtimers AC posiadała 117.486 akcji serii B, co stanowiło 6,6 % udziału w kapitale zakładowym Spółki oraz 117.486 głosów (5,00004 % udziału w ogólnej liczbie głosów).

3. Liczba aktualnie posiadanych akcji i ich procentowy udział w kapitale zakładowym spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów:

Obecnie Youngtimers AC nie posiada żadnych akcji Spółki.
