TheManagement Board of Agora S.A. with its registered seat in Warsaw(_quot;Company_quot;) hereby informs that on October 28th, 2022, in accordancewith the Act of March 13th, 2003 on Special Rules for Termination ofEmployment for Reasons Not Attributable to_#160;Employees, resolvedto_#160;initiate the consultation on group layoffs with the trade unionsoperating in the Company. Additionally, in accordance with the Act ofApril 7th, 2006 on informing and consulting employees, the Company'sworks council shall also be consulted on the group layoff process.Thereason for the planned group layoffs is the Company's aim to increasethe effectiveness of processes functioning within the Company and toreduce operating costs. Due to economic and financial factors, i.eeconomic crisis caused by the conflict in Ukraine resulting i.a. in theincrease of the price of paper and due to adverse prognosis concerningeconomic growth in the coming quarters, the changes of theorganizational structure of the Company are essential.Theintention of the Management Board of Agora SA is to_#160;lay off up to_#160;84employees of the Company (which is ca. 5.9% of employees of the Company)between November 21st and December 20th, 2022TheCompany shall go through these difficult changes in a_#160;thought out mannerand with care for its employees, offering the dismissed employeesa_#160;range of protective and supportive initiatives.OnOctober 28th, 2022 the Management Board of the Company shall request thetrade unions operating at the Company and the Company's works councilto_#160;join in the consultation on collective redundancy process and shallprovide the relevant Labor Office with information on the intentionto_#160;execute group layoffs in the Company.TheCompany shall publish a_#160;consecutive regulatory filing on collectiveredundancies after the required by law process of consultation withtrade unions and works council operating at the Company is finalized.This regulatory filing shall also include information on the estimatedamount of provision related to_#160;the restructuring of employment in AgoraS.A._#160;whichwill be fully charged to_#160;the result of the Company and of Agora Group inthe 4th quarter of 2022.
