Delivery of the Appeal of the President of the Office ofCompetition and Consumer Protection against the Judgment of the Court ofthe first instance amending in its entirety the decision of thePresident of the Office of Competition and Consumer Protection ofJanuary 7, 2021 prohibiting the concentration - taking control overEurozet sp. z o.o.TheManagement Board of Agora S.A. with its registered office in Warsaw(_quot;Agora_quot;, _quot;Company_quot;), with reference to the current reports Nos. 4/2021of February 8, 2021, 15/2022 of_#160;May12, 2022 and 28/2022 of July 28, 2022, hereby informs that the Companywas informed of the delivery to Agora's proxy, of the appeal of thePresident of the Office of Competition and Consumer Protection againstthe judgment of the Warsaw District Court - Court for Competition andConsumer Protection of May 12, 2022 (case No. XVII AmA 61/21)("Judgement") amending in its entirety the decision of thePresidentof the Office of Competition and Consumer Protectiondated January7, 2021 ("Decision"), prohibiting the concentration - taking controlover Eurozet sp. z o.o. by the Company ("Transaction"). The Judgementamended the Decision so that an unconditional consent for theTransaction was granted.
The Company analyzed the content ofthe appeal. In the appeal, the President of the Office of Competitionand Consumer Protection demands amendment of the appealed Judgementthrough dismissal of the Company's appeal in its entirety,alternatively, revocation of the appealed Judgement in its entirety andreferring the case back for rehearing to the Warsaw District Court -Court for Competition and Consumer Protection.
The Company finds the Judgementcorrect and does not agree with the position presented in the appeal.Consequently, in accordance with the former regulatory filing, theCompany plans to respond to the appeal.
