Management Board of Agora S.A. with its registeredoffice in Warsaw (_quot;Agora_quot;, _quot;Company_quot;), inconnection with regulatory filing No. 11/2022 of April 14, 2022 informsof the amendment to the overdraft agreement and a term loan concluded bythe Company with Santander Bank Polska S.A. ("Bank").

In accordance with the amendment, the term in whichthe Company cannot pay dividends to shareholders is extended untilJanuary 1, 2024. Moreover, until the loan granted to the Company by SFSVentures s.r.o._#160;with itsseat in Prague is fully repaid, the Bank's consent for payment of thedividend will have to be granted.

Other provisions of the agreement remain unchanged.
