SHAREHOLDER NOTIFICATION

Acting as a representative of Youngtimers AG, with its registered office in Basel (Elisabethenstrasse 18, 4051 Basel, Switzerland), entered in the commercial register kept by the Commercial Register Office of the Canton Basel-Stadt under the number CHE-101.017.162 (hereinafter: "Youngtimers"), pursuant to art. 69 sec. 1 point 1 of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies (hereinafter: the "Act"), I inform that Youngtimers has fell below the 5% threshold of the total number of votes in the company Gremi Media S.A., with its registered office in Warsaw (ul. Prosta 51, 00-838 Warsaw), entered into the National Court Register under KRS number: 0000660475 (hereinafter: the "Company").

1. The date and type of the event causing the change in the equity interest to which the notification relates:

Increase of the share capital of the Company on 28 of March 2023 to PLN 7,160,368.00, which is divided into 1,790,092 shares.

Działając jako uprawniony do reprezentacji spółki Youngtimers AG z siedzibą w Bazylei (Elisabethenstrasse 18, 4051 Bazylea, Szwajcaria), wpisanej do szwajcarskiego rejestru handlowego, prowadzonego przez Urząd Rejestru Handlowego dla Kantonu Basel-Stadt pod numerem CHE-101.017.162 (dalej jako: "Youngtimers"), na podstawie art. 69 ust. 1 pkt 1 ustawy z dnia 29 lipca 2005 roku o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (dalej jako: "Ustawa") zawiadamiam o bezpośrednim przekroczeniu przez Youngtimers spadł poniżej progu 5 % ogólnej liczby głosów w spółce Gremi Media S.A. z siedzibą w Warszawie (ul. Prosta 51, 00-838 Warszawa), wpisanej do Krajowego Rejestru Sądowego pod numerem KRS: 0000660475 (dalej jako: "Spółka").

Podwyższenie kapitału zakładowego Spółki w dniu 28 marca 2023 roku do kwoty 7.160.368,00 zł, który dzieli się na 1.790.092 akcje.

As of October 21, 2022 Youngtimers held directly 117,486 series B shares, representing 6.6 % of the Company's share capital and 117,486 votes (5.00004 % of the total number of votes).

Currently, Youngtimers holds directly 117,486 series B shares, representing 6,56 % of the Company's share capital and 117,486 votes (4,98 % of the total number of votes).

4. Subsidiaries of the notifying shareholder, holding the Company's shares

Currently, none of Youngtimers' subsidiaries holds any shares of the Company.

5. The persons mentioned in art. 87 sec. 1 point 3 let. c of the Act:

Na dzień 21 października 2022 roku Youngtimers posiadał bezpośrednio 117.486 akcji serii B, co stanowiło 6,6% kapitału zakładowego Spółki i uprawniało do 117.486 głosów (5,00004% ogólnej liczby głosów).

Obecnie Youngtimers posiada bezpośrednio 117.486 akcji serii B, co stanowi 6,56 % udziału w kapitale zakładowym Spółki oraz 117.486 głosów (4,98% udziału w ogólnej liczbie głosów).

4. Podmioty zależne od akcjonariusza dokonującego zawiadomienia, posiadające akcje spółki:

Żaden z podmiotów zależnych Youngtimers nie posiada obecnie akcji Spółki.
