CONCLUSION OF A SIGNIFICANT AGREEMENT

Management Board of VIGO Photonics S.A. (Company, Issuer) informs thaton 4th of May, 2023, between the Issuer and a German company anagreement on the supply of detectors. The value of the agreement will bein the range between 2_#160;887_#160;440 EUR (i.e. PLN 13 251 039,65 according tothe average exchange rate announced by the National Bank of Poland onthe day preceding the date of conclusion of the agreement) and 3_#160;538_#160;840EUR (i.e. PLN 16 240 444,53 according to the average exchange rateannounced by the National Bank of Poland on the day preceding the dateof conclusion of the agreement)

The subject of the agreement is the sale of infrared detectors by theCompany in the period between 1 January 2023 and 31 December 2023, withthe possibility of postponing the delivery date to March 31, 2024 at thelatest.

The value of the concluded contract exceeds 10% of the Company's equityand thus constitutes a criterion for recognizing it as a significantcontract.

The agreement does not contain provisions on contractual penalties anddoes not stipulate any conditions or termination or suspensive dates.

In the contract, the parties included provisions on the possibility ofwithdrawing from the contract in case of systematic problems with thequality of the products.

Other arrangements do not differ from generally applicable marketconditions.

Legal basis: art. 17 sec. 1 of Regulation (EU) No. 596/2014 of theEuropean Parliament and of the Council of 16 April 2014 on market abuse(Market Abuse Regulation) and repealing Directive 2003/6/EC of theEuropean Parliament and of the Council and Commission Directive 2003/124/EC, 2003/125/EC and 2004/72/EC (MAR Regulation).
