Notification of a change in the interest held in the total number ofvotes of the Company

The Management Board of KGHM Polska Miedź S.A. (_quot;the Company_quot;) announcesthat the Company received a notification from Powszechne TowarzystwoEmerytalne Allianz Polska S.A. dated 15 May 2023, sent in compliancewith art. 69 sec. 1 point 1) in connection with art. 87 sec. 1 point 2b)of the Act on public offerings and conditions governing the introductionof financial instruments to organised trading, and on public companies(_quot;Act").

According to the notification received, Powszechne TowarzystwoEmerytalne Allianz Polska S.A., which manages Allianz Polska OtwartyFundusz Emerytalny ("Allianz OFE"), announced that, based on art. 69sec. 1 of the Act dated 28 August 1997 on the organisation and operationof pension funds, on 12 May 2023, as a result of the liquidation of thepension fund Drugi Allianz Polska Otwarty Fundusz Emerytalny ("DrugiAllianz OFE") by transferring its assets to Allianz OFE, the share heldin the total number of votes in the company KGHM Polska Miedź S.A. onthe accounts of Allianz OFE amounted to more than 5%.

Prior to the liquidation of Drugi Allianz OFE, in total on the accountsof Allianz OFE and Drugi Allianz OFE there were 11 961 453 shares of theCompany, representing in total 5.98% of the share capital of the Companyand granting the right to 11 961 453 votes, representing 5.98% of thetotal number of votes at the Company's General Meeting.

Following the liquidation of Drugi Allianz OFE, in total on the accountsof Allianz OFE there were 11 961 453 shares, representing 5.98% of theshare capital of the Company and granting the right to 11 961 453 votes,representing 5.98% of the total number of votes at the Company's GeneralMeeting.

At the same time, Powszechne Towarzystwo Emerytalne Allianz Polska S.A.,which manages Allianz OFE, announced that:

- it does not have subsidiaries holding shares in the Company,

- the situation described in art. 69 sec. 4 point 6 of the Act does notexist,

- it does not have financial instruments described in art. 69b sec. 1points 1) and 2) of the Act.
