Subject:_#160;Executionof an intermediary agreement for the acquisition of shares in subsidiaryUnited Label S.A.

The ManagementBoard of Cl Games SE with its registered office in Warsaw (the "Company")informs that on 19 May 2023, the Company entered into an intermediaryagreement with Trigon Dom Maklerski S.A., based in Krakow (_quot;TDM_quot;),for the acquisition of shares of United Label S.A. (_quot;Agreement_quot;).The Agreement relates to the acquisition through TDM of up to 30,000shares of United Label S.A. at a price of PLN 18.05 in one or moresession, package or off-market transactions executed up to and including30 May 2023. Pursuant to the Agreement, the Company is obliged torepurchase from TDM all the acquired shares of United Label S.A. by 30December 2023.

The ManagementBoard of the Company considered it reasonable to classify thisinformation as confidential within the meaning of Article 17(1) of theMAR Regulation.
