OCENA ROCZNYCH SPRAWOZDAŃ FINANSOWYCH I ROCZNYCH SPRAWOZDAŃ Z DZIAŁALNOŚCI DOKONANA PRZEZ RADĘ NADZORCZĄ BIOTON S.A.

Działając na podstawie § 70 ust. 1 pkt 14 oraz § 71 ust 1. pkt 12 Rozporządzenia Ministerstwa Finansów z dnia 29 marca 2018 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (Dz. U. z 2018 r poz. 757) Rada Nadzorcza BIOTON S.A. ("Spółka") dokonała oceny (Wszystkie kwoty przedstawione poniżej są zaokrąglone w tysiącach PLN):

• 1. Sprawozdania finansowego Spółki za rok obrotowy zakończony w dniu 31 grudnia 2022 roku obejmującego:
• − bilans sporządzony na dzień 31 grudnia 2022 roku, który po stronie aktywów i pasywów wykazuje sumę 826 184 tys. PLN (słownie: osiemset dwadzieścia sześć milionów sto osiemdziesiąt cztery tysiące złotych);
• − rachunek zysków i strat za okres od 1 stycznia 2022 roku do 31 grudnia 2022 roku wykazujący zysk netto w kwocie 1 801 tys. PLN (słownie: jeden milion osiemset jeden tysięcy złotych);
• − sprawozdanie z całkowitych dochodów za okres od 1 stycznia 2022 roku do 31 grudnia 2022 roku wykazujące całkowity dochód ogółem w kwocie 1 952 tys. PLN (słownie: jeden milion dziewięćset pięćdziesiąt dwa tysiące złotych);
• − zestawienie zmian w kapitale własnym za okres od 1 stycznia 2022 roku do 31 grudnia 2022 roku wykazujące zwiększenie kapitału własnego o kwotę 1 951 tys. PLN (słownie: jeden milion dziewięćset pięćdziesiąt jeden tysięcy złotych);
• − rachunek przepływów pieniężnych za okres od 1 stycznia 2022 roku do 31 grudnia 2022 roku wykazujący zwiększenie stanu środków pieniężnych o kwotę 416 tys. PLN (słownie: czterysta szesnaście tysięcy złotych);
• − informacje dodatkowe, obejmujące informacje o przyjętej polityce rachunkowości i inne informacje objaśniające.
• 1. Sprawozdania Zarządu z działalności Spółki w roku obrotowym zakończonym w dniu 31 grudnia 2022 roku;
• 1. Wniosku Zarządu do Zwyczajnego Walnego Zgromadzenia Spółki o przeznaczenie zysku Bioton S.A. za rok obrotowy 2022 w kwocie netto 1 801 tys. PLN (słownie: jeden milion osiemset jeden tysięcy złotych) na pokrycie strat z lat ubiegłych;

ASSESSMENT OF ANNUAL FINANCIAL STATEMENTS AND ANNUAL REPORT ON THE OPERATIONS WORKED BY THE SUPERVISORY BOARD OF BIOTON S.A.

Acting on the basis of § 70 sec. 1 point 14 and §71 sec. 1 point 12 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information provided by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-Member State (Journal of Laws of 2018, item 757), the Supervisory Board of BIOTON S.A. ("Company") assessed (All figures presented hereinbelow are rounded in thousands PLN):

• 1. The Company's financial statements for the financial year ended on December 31st , 2022, including:
• − the balance sheet prepared as at December 31st , 2022, which shows an amount of 826 184 K PLN on the side of assets and liabilities (in words: eight hundred and twenty-six million one hundred and eighty-four thousand zloty);
• − profit and loss account for the period from January 1st , 2022 to December 31st , 2022, showing a net profit in the amount of 1 801 K PLN (one million eight hundred and one thousand zloty);
• − the statement of comprehensive income for the period from January 1st , 2022 to December 31st , 2022 showing total income in the amount of 1 952 K PLN (in words: one million nine hundred and fifty-two thousand zloty);
• − statement of changes in equity for the period from January 1st , 2022 to December 31st , 2022, showing an increase in equity of 1 951 K PLN (in words: one million nine hundred and fifty-one thousand zloty);
• − cash flow statement for the period from January 1 st , 2022 to December 31st , 2022, showing an increase in cash by 416 K PLN (in words: four hundred and sixteen thousand zloty);
• − additional information, including information about the adopted accounting policy and other explanatory information.
• 1. Reports of the Management Board on the Company's operations in the financial year ended on December 31st , 2022;
• 1. An application of the Management Board to the Company's Ordinary General Meeting to allocate the profit of Bioton S.A. for the fiscal year 2022 in the amount of 1 801 K PLN (one million eight hundred and one thousand zloty) to cover losses from previous years;
• 1. Skonsolidowanego sprawozdania finansowego Grupy Kapitałowej BIOTON za rok obrotowy zakończony w dniu 31 grudnia 2022 roku obejmującego:
• − skonsolidowany bilans sporządzony na dzień 31 grudnia 2022 roku, który po stronie aktywów i pasywów wykazuje sumę 810 326 tys. PLN (słownie: osiemset dziesięć milionów trzysta dwadzieścia sześć tysięcy złotych);
• − skonsolidowany rachunek zysków i strat za okres od 1 stycznia 2022 roku do 31 grudnia 2022 roku wykazujący zysk netto w kwocie 1 421 tys. PLN (słownie: jeden milion czterysta dwadzieścia jeden tysięcy złotych);
• − skonsolidowane sprawozdanie z całkowitych dochodów za okres od 1 stycznia 2022 roku do 31 grudnia 2022 roku wykazujące całkowity dochód ogółem w kwocie 1 546 tys. PLN (słownie: jeden milion pięćset czterdzieści sześć tysięcy złotych);
• − zestawienie zmian w skonsolidowanym kapitale własnym za okres od 1 stycznia 2022 roku do 31 grudnia 2022 roku wykazujące zwiększenie kapitału własnego o kwotę 1 546 tys. PLN (słownie: jeden milion pięćset czterdzieści sześć tysięcy złotych);
• − skonsolidowany rachunek przepływów pieniężnych za okres od 1 stycznia 2022 roku do 31 grudnia 2022 roku wykazujący zwiększenie stanu środków pieniężnych o kwotę 483 tys. PLN (słownie: czterysta osiemdziesiąt trzy tysiące złotych);
• − informacje dodatkowe, obejmujące informacje o przyjętej polityce rachunkowości i inne informacje objaśniające.
• 1. Sprawozdania Zarządu z działalności Grupy Kapitałowej BIOTON w roku obrotowym zakończonym w dniu 31 grudnia 2022 roku.

Dokonując analizy i oceny sprawozdań, o których mowa powyżej, Rada Nadzorcza korzystała ze sprawozdania biegłego rewidenta wyznaczonego do badania sprawozdania finansowego Spółki i Grupy Kapitałowej BIOTON za rok 2022, a także opinii członków Zarządu Spółki.

Biegły rewident stwierdził, że sprawozdania finansowe Spółki i Grupy Kapitałowej BIOTON za rok 2022:

• przedstawiają rzetelny i jasny obraz sytuacji majątkowej i finansowej Spółki na dzień 31 grudnia 2022 r. oraz jej wyniku finansowego i przepływów pieniężnych za rok obrotowy • give a true and fair view of the Company's financial position as at December 31st, 2022 and its financial performance and its cash flows for the financial year then ended in accordance with

• 1. The consolidated financial statements of the BIOTON Capital Group for the financial year ended on December 31st , 2022, including:
• − consolidated balance sheet prepared as at December 31st , 2022, which shows an amount of 810 326 K PLN on the side of assets and liabilities (in words: eight hundred and ten million three hundred and twenty-six thousand zloty);
• − consolidated profit and loss account for the period from January 1st , 2022 to December 31st , 2022 showing a net profit in the amount of 1 421 K PLN (in words: one million four hundred and twenty one thousand zloty);
• − the consolidated statement of comprehensive income for the period from January 1st , 2022 to December 31st , 2022, showing a total income in the amount of 1 546 K PLN (in words: one million five hundred and forty-six thousand zloty);
• − statement of changes in consolidated equity for the period from January 1st , 2022 to December 31st , 2022, showing an increase in equity of 1 546 K PLN (in words: one million five hundred and forty-six thousand zloty);
• − consolidated cash flow statement for the period from January 1st , 2022 to December 31st , 2022, showing an increase in the cash balance by 483 K PLN (in words: four hundred and eighty-three thousand zloty);
• − additional information, including information about the adopted accounting policy and other explanatory information.
• 1. Reports of the Management Board on the operations of the BIOTON Capital Group in the financial year ended on December 31st , 2022.

By analysing and evaluating the reports referred to above, the Supervisory Board used the report of the statutory auditor appointed to audit the financial statements of the Company and the BIOTON Capital Group for 2022, as well as the opinions of the members of the Company's Management Board.

Statutory auditor concluded that the financial statements of the Company and the BIOTON Capital Group for 2022:

zakończony w tym dniu zgodnie z mającymi zastosowanie Międzynarodowymi Standardami Sprawozdawczości Finansowej zatwierdzonymi przez Unię Europejską oraz przyjętymi zasadami (polityką) rachunkowości;	required applicable rules of International Financial Reporting Standards approved by the European Union (IFRSs) and applied accounting principles (policy).
• są zgodne co do formy i treści z obowiązującymi Spółkę przepisami prawa oraz statutem Spółki;	• are in respect of the form and content in accordance with legal regulations governing the Group and the Parent Company's Statute;
• zostały sporządzone na podstawie prawidłowo prowadzonych ksiąg rachunkowych zgodnie z przepisami rozdziału 2 ustawy z dn. 29.09.1994 r. o rachunkowości ("Ustawa o rachunkowości" – t.j. Dz. U. z 2023 r., poz. 120 z późn. zm.).	• have been prepared based of properly maintained accounting records in accordance with the chapter 2 of the Accounting Act dated September 29th, 1994 ("the Accounting Act" – i.e. Journal of Laws of 2023, item 120 as amended).
Ponadto, Biegły rewident nie stwierdził w Sprawozdaniu z działalności Spółki istotnych zniekształceń.	Furthermore, the statutory auditor did not find any material misstatements in the Company's Activity Report.
Wobec powyższego Rada Nadzorcza stwierdza, że: (i) sprawozdanie z działalności Spółki, (ii) sprawozdanie z działalności grupy kapitałowej Spółki, (iii) sprawozdanie finansowe Spółki oraz (iv) skonsolidowane sprawozdanie finansowe grupy kapitałowej Spółki, które zostały sporządzone za okres od 1 stycznia 2022 r. do 31 grudnia 2022 r. są zgodne z księgami, dokumentami i stanem faktycznym.	In view of the above, the Supervisory Board states that: (i) the report on the Company's operations, (ii) the report on the operations of the Company's capital group, (iii) the Company's financial statements and (iv) the consolidated financial statements of the Company's Capital Group that were prepared for the period from January 1st , 2022 to December 31st , 2022, are consistent with the books, documents and actual status.
Rada Nadzorcza pozytywnie opiniuje wniosek Zarządu do Zwyczajnego Walnego Zgromadzenia Spółki o przeznaczenie zysku Bioton S.A. za rok obrotowy 2022 w kwocie 1 801 tys. PLN (słownie: jeden milion osiemset jeden tysięcy złotych) na pokrycie strat z lat ubiegłych.	Supervisory Board approves the motion of the Management Board to the Company's Ordinary General Meeting to allocate the profit of Bioton S.A. for the fiscal year 2022 in the amount of 1 801 K PLN (in words: one million eight hundred and one thousand zloty) to cover losses from previous years.
