Conclusion of a conditional real estate sale agreement in TychyRegulatoryfiling
Management Board of Agora S.A. with its registeredoffice in Warsaw (_quot;Agora_quot;, _quot;Company_quot;) informs that on June 14, 2023 theCompany concluded a conditional agreement for the sale of a developedreal estate located in Tychy at 4 Towarowa Street, for which theDistrict Court in Tychy, 5th Division of Land Registry keeps a land andmortgage register with the number KA1T/00004100/9, consisting of plotNo. 975/16 with an area of 27,774 square meters (respectively "Property"and "Conditional Agreement").
The Conditional Agreement is a sale agreement withbinding effects, concluded under the condition that Katowicka SpecjalnaStrefa Ekonomiczna, a joint-stock company with its registered seat atKatowice, a manager of the Katowice Special Economic_#160;Zoneshall not exercise its pre-emptive right granted under art. 8.2 of theAct on Special Economic Zones of October 20, 1994 ("Condition"). Whenthe Condition is met, the Company shall conclude the agreementtransferring ownership of the Property.
The sale price shall amount to PLN 19.65 million net,and the positive effect of the transaction on the Agora Group EBIT indexin the second quarter of 2023 may amount to ca. PLN 1.5 million. Thesale shall not materially affect the operating result of the Company inthe second quarter of 2023, as the selling price of the Property isclose to its book value indicated in the last unconsolidated quarterlyfinancial report of the Company.
The value of the Property being the subject of theConditional Agreement is not significant from the point of view of theCompany, however, the Management Board concluded that due to the one-offand non-operational nature of the transaction and its potential impacton the Agora Group's operating results by the second quarter of 2023, itshould be disclosed to the public in the form of a regulatory filing.
Legalbasis: Art. 17 sec. 1 of Regulation (EU) No 596/2014 of the EuropeanParliament and of the Council of 16 April 2014 on market abuse (marketabuse regulation) and repealing Directive 2003/6/EC of the EuropeanParliament and of the Council and Commission directives 2003/124/EC,2003/125/EC and 2004/72/EC.
