Title:Sale of Delta Printing System to Northeastern University inBoston, USA.

Legal basis:Article 17(1) MAR - inside information.

Content of the Report:The Board of Directors of XTPL S.A. [_quot;Issuer_quot;,_quot;Company_quot;, _quot;XTPL_quot;] announces that on June 22, 2023. The Company hasconfirmed an order placed by the Department of Electrical _amp; ComputerEngineering (the _quot;Department_quot;) at Northeastern University in Boston[_quot;Customer_quot;]. The Issuer has accepted the order placed by the Customer,which is tantamount to entering into a sales agreement. The Company willdeliver and commission the indicated device in the second half of 2023.

The device will serve the BEST (Bendable Electronics and SustainableTechnologies) research group, led by Prof. Ravinder Dahiya, to studybendable electronics and _quot;electronic skin_quot; and their applications inrobotics, wearables and augmented/virtual reality, among others. Prof.Ravinder Dahiya previously led the BEST research group at the Universityof Glasgow, where research had already been conducted on the DeltaPrinting System device, one of the first 4 installed worldwide. Aftertransferring to Northeastern University in Boston, the professor decidedto continue his research using, among other things, a device supplied bythe Company.

This is the second sale of a Delta Printing System device to the USmarket, the first to a research institute. The revenue generated fromthe current order of the device will have a positive impact on XTPLS.A.'s financial results achieved in 2023.

Accordingly, for the reasons described above, in the Management Board'sopinion the information disclosed in this current report meets thecriteria of inside information within the meaning of Article 7(1) MAR.
