Na podstawie art. 69a ust. 1 pkt 3 w zw. z art. 69 ust. 2 pkt 2 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych ("Ustawa o Ofercie Publicznej"),

w związku z bezpośrednim nabyciem przez KI Chemistry S.à r.l. ("KI Chemistry"), bedaca podmiotem zależnym (w rozumieniu Ustawy o Ofercie Publicznej) od Zawiadamiającego oraz Kulczyk Investments"), 1.572.145 (jednego miliona pięciuset siedemdziesięciu dwóch tysięcy stu czterdziestu pieciu) akcji Spółki, uprawniających do wykonywania 1.572.145 (jednego miliona pieciuset siedemdziesięciu dwóch tysięcy stu czterdziestu pięciu) głosów na walnym zgromadzeniu Spółki, reprezentujących około 2,98% kapitału zakładowego Spółki oraz całkowitej liczby głosów na walnym zgromadzeniu Spółki ("Nabyte Akcje")

w wyniku transakcji nabycia akcji Spółki zawartych na rynku regulowanym prowadzonym przez Giełdę Papierów Wartościowych w

Pursuant to Article 69a Section 1 Item 3 in conjunction with Article 69 Section 2 Item 2 of the Act on Public Offering and Conditions Governing the Introduction of Financial Instruments to the Organized Trading System and Public Companies of 29 July 2005 (the "Polish Public Offering Act"),

in relation to the direct acquisition by KI Chemistry S.à r.l. ("KI Chemistry"), a subsidiary (within a meaning of the Polish Public Offering Act) of the Notifying Party and Kulczyk Investments S.A. ("Kulczyk Investments"), of 1,572,145 (one million five hundred and seventytwo thousand one hundred and forty-five) shares in the Company, corresponding to 1,572,145 (one million five hundred and seventy-two thousand one hundred and forty-five) votes at the Company's general meeting, representing approximately 2.98% of shares in the Company's share capital and in the total number of votes at the Company's general meeting (the "Acquired Shares")

resulting from the acquisition of shares in the Company through transactions concluded on the regulated market operated by Warsaw Stock

Warszawie S.A. oraz poza rynkiem regulowanym prowadzonym przez Giełdę Papierów Wartościowych w Warszawie S.A. przez Kł Chemistry w dniach 10 i 11 października 2023 r., których rozliczenie nastąpiło w dniach 12 i 13 października 2023 r., których przedmiotem było łącznie 1.572.145 (jeden milion pięćset siedemdziesiąt dwa tysiące sto czterdzieści pięć) akcji Spółki ("Nabycie"),

działając w imieniu Zawiadamiającego, podmiotem dominującym, będącego w rozumieniu Ustawy o Ofercie Publicznej, wobec Kulczyk Investments, która z kolei jest podmiotem dominującym, w rozumieniu Ustawy o Ofercie Publicznej, wobec KI Chemistry,

niniejszym zawiadamiamy o pośrednim nabyciu Nabytych Akcji przez Zawiadamiającego.

Bezpośrednio przed Nabyciem Zawiadamiający nie posiadał bezpośrednio żadnych akcji Spółki.

Bezpośrednio przed Nabyciem Zawiadamiający pośrednio, poprzez Kulczyk posiadał Investments oraz KI Chemistry, 48.718.719 (czterdzieści osiem milionów siedemset osiemnaście tysięcy siedemset dziewiętnaście) akcji Spółki, uprawniających do wykonywania 48.718.719 (czterdziestu ośmiu milionów siedmiuset osiemnastu tysięcy siedmiuset dziewietnastu) głosów na walnym zgromadzeniu Spółki, reprezentujących około 92,45% kapitału zakładowego Spółki oraz całkowitej liczby głosów na walnym zgromadzeniu Spółki i żaden podmiot zależny Zawiadamiającego poza KI Chemistry nie posiadał bezpośrednio żadnych akcji Spółki.

W wyniku Nabycia oraz na dzień sporządzenia niniejszego zawiadomienia Zawiadamiający nie posiada bezpośrednio żadnych akcji Spółki.

W wyniku Nabycia oraz na dzień sporządzenia niniejszego zawiadomienia Zawiadamiający posiada pośrednio, poprzez Kulczyk Investments oraz KI Chemistry, 50.290.864 (pięćdziesiąt milionów dwieście dziewięćdziesiąt tysięcy osiemset sześćdziesiąt cztery) akcje Spółki, uprawniające do wykonywania 50.290.864 (pięćdziesięciu milionów dwustu

Exchange (Giełda Papierów Wartościowych w Warszawie S.A.) as well as outside the regulated market operated by Warsaw Stock Exchange (Giełda Papierów Wartościowych w Warszawie S.A.) by KI Chemistry on 10 and 11 October 2023, which were settled on 12 and 13 October 2023, concerning in total 1,572,145 (one million five hundred and seventy-two thousand one hundred and forty-five) shares in the Company (the "Acquisition"),

acting on behalf of the Notifying Party, being a dominant entity, within the meaning of the Polish Public Offering Act, of Kulczyk Investments which is, in turn, a dominant entity, within the meaning of the Polish Public Offering Act, of KI Chemistry,

we hereby give notice of the indirect acquisition of the Acquired Shares by the Notifying Party.

Immediately prior to the Acquisition, the Notifying Party directly held no shares in the Company.

Immediately prior to the Acquisition, the Notifying Party held indirectly, through Kulczyk Investments and KI Chemistry, 48,718,719 (forty eight million seven hundred eighteen thousand seven hundred nineteen) shares in the Company, corresponding to 48,718,719 (forty eight million seven hundred eighteen thousand seven hundred nineteen) votes at the Company's general meeting, representing approximately 92.45% of the shares in the Company's share capital and in the total number of votes at the Company's general meeting and no subsidiary of the Notifying Party other than KI Chemistry held directly any shares in the Company.

As a result of the Acquisition and as at the date of this notification, the Notifying Party directly holds no shares in the Company.

As a result of the Acquisition and as at the date of this notification, the Notifying Party holds indirectly, through Kulczyk Investments and KI Chemistry, 50,290,864 (fifty million two hundred and ninety thousand eight hundred and sixty-four) shares in the Company, corresponding to 50,290,864 (fifty million two hundred and ninety thousand eight hundred and sixty-four) votes at

dziewięćdziesięciu tysięcy ośmiuset sześćdziesięciu czterech) głosów na walnym zgromadzeniu Spółki, reprezentujące około zakładowego Spółki 95,43% kapitału oraz całkowitej liczby głosów na walnym zgromadzeniu Spółki.

Ponadto niniejszym Zawiadamiający zawiadamia, że:

• (a) Poza przypadkami wskazanymi zawiadomieniu zarówno w niniejszym Zawiadamiający, jak i żaden z jego podmiotów zależnych nie posiadają, bezpośrednio lub pośrednio, akcji Spółki.
• (b) Zawiadamiający nie jest strona jakichkolwiek umów, których przedmiotem byłoby przekazanie uprawnienia do wykonywania prawa głosu z akcji Spółki w rozumieniu art. 87 ust. 1 pkt 3 lit. c Ustawy o Ofercie Publicznej.
• (c) Zawiadamiający nie posiada instrumentów finansowych ani nie jest uprawniony lub zobowiązany do nabycia akcji Spółki na warunkach wskazanych w art. 69 ust. 4 pkt 7 Ustawy o Ofercie Publicznej.
• (d) Zawiadamiający nie posiada instrumentów finansowych w sposób bezpośredni lub pośredni odnoszących się do akcji Spółki, o których mowa w art. 69 ust. 4 pkt 8 Ustawy o Ofercie Publicznej.
• (e) Wszystkie akcje Spółki posiadane przez (e) All shares in the Company held by the Zawiadamiającego są akcjami tego samego rodzaju.

the Company's general meeting, representing approximately 95.43% of the shares in the Company's share capital and in the total number of votes at the Company's general meeting.

Furthermore, the Notifying Party hereby gives notice that:

• (a) Other than as indicated in this notification, neither the Notifying Party nor its subsidiaries hold, directly or indirectly, any shares in the Company.
• (b) The Notifying Party is not a party to any agreement on the transfer of the rights to exercise the voting rights vested in the Company's shares, within the meaning of Article 87 Section 1 Item 3 Letter c) of the Polish Public Offering Act.
• (c) Neither the Notifying Party holds any financial instruments, nor is it authorized or obliged to acquire shares in the Company on the terms and conditions stipulated in Article 69 Section 4 Item 7 of the Polish Public Offering Act.
• (d) The Notifying Party holds no financial instruments directly or indirectly related to shares in the Company, referred to in Article 69 Section 4 Item 8 of the Polish Public Offering Act.
• Notifying Party are shares of a single class.
