Notification

As part of performance of the obligation referred to in Article 69(1)(1) and (2) of the Act on public offer and the conditions for introducing financial instruments to the organies of 29 July 2005 (the "Act") Heidelberger Beteiligungsholding AG and its parent company Deutsche Balaton AG (together the "Companies"), which are members of the same capital group described in point 9 below, hereby provide notification about change of the share in XTPL S.A. with its registered office in Wrocław ("XTPL").

Date and type of the event causing the change in the share referred to in the notification: 1.

On 27 October 2023, Deutsche Baton AG acquired 250 shares on the Warsaw Stock Exchange which led to Deutsche Balaton AG exceeding the 5.00 percent threshold.

1. The number of shares held before the change in the share in the share in the share capital of the company (XTPL), and the number of votes carried by those shares with their percentage share in the total number of votes:

According to the last Notification of shareholdings in XTPL SA from 10 July 2020 the shareholding and percentage share were:

• a) Heidelberger Beteiligungsholding AG held 190,571 XTPL shares, which constituted approx. 9.39% of share capital of XTPL and carried 190,571 votes at the general meeting of Shareholders of XTPL, constituting approx. 9.39% of the total number of votes (at the time when share capital of XTPL was 202,922.20 PLN),
• b) Deutsche Balaton AG held 48,006 XTPL shares, which constituted approx. 2.37% of share capital of XTPL and carried 48,006 votes at the general meeting of shareholders of XTPL, constituting approx. 2.37% of the total number of votes (at the when share capital of XTPL was 202,922.20 PLN), and

• c) Heidelberger Beteiligungsholding AG and Deutsche Balaton AG jointly held 238,577 XTPL shares, which constituted approx. 11.76% of share capital of XTPL and carried 238,577 votes at the general meeting of Shareholders of XTPL, constituting approx. 11.76% of the total number of votes (at the time when share capital of XTPL was 202,922.20 PLN).

• The number of shares held currently and their percentage share in the company (XTPL), and the number of votes carried by those shares with their percentage share in the total number of votes:

At present:

• a) Heidelberger Beteiligungsholding AG holds 191,071 shares of XTPL, which constitutes approx. 8.29% of the share capital of XTPL and carries 191,071 votes at the general meeting of shareholders of XTPL, constituting approx. 8.29% of the total number of votes,
• b) Deutsche Balaton AG holds 115,226 shares of XTPL, which constitutes approx. 5.00% of the share capital of XTPL and caries 115,226 votes at the general meeting of XTPL, constituting approx. 5.00% of the total number of votes, and
• c) Heidelberger Beteiligungsholding AG and Deutsche Balaton AG jointly hold 306,297 shares of XTPL, which constitute approx. 13.29% of the share capital of XTPL and carries 306,297 votes at the general meeting of XTPL, constituting approx. 13.29% of the total number of votes.

4. Subsidiaries of the notifying shareholder which own the shares of the company (XTPL):

Heidelberger Beteiligungsholding AG is a subsidiary of Deutsche Balaton AG. Both companies of the capital group described in point 9. Other members of the capital group do not have shares of XTPL.

5. The persons referred to in Article 87(1)(3)(c) of the Act:

None.

1. The number of votes carried by the shares, calculated in the manner specified in Article 69b(2) of the Act, which the Companies would be authorized or obliged to buy as the holder of the financial instruments referred to in Article 69b(1)(1) of the Act, and financial instruments referred to in Article 69b(1)(2) of the Act, which are not exercised solely by cash settlement:

The Shareholder does not hold the financial instruments referred to in Article 69b.1 (1) of the Act on Public Offering.

In terns of the financial instruments referred to in Article 69b.1 (2) of the Act on Public Offering, the Deutsche Balaton AG holds:

30,642 series A convertible bonds which may be converted into 30,642 votes entitling to 30,642 votes at the General Meeting of Shareholders of the Company. Series A convertible bonds Maturity Date is January 30, 2024. Series A convertible bonds may be converted into series U shares not earlier than 1 (one) month prior to the Maturity Date and not later than 11 (eleven) Business Days before the Maturity Date.

1. The number of votes carried by the shares, calculated in the manner specified in Article 69b(3) of the Act, which are indirectly or directly related to the financial instruments referred to in Article 69b(1)(2) of the Act:

0 (zero).

8. The total number of votes calculated in accordance with Article 69(4)(9) of the Act:

At the date of the notification, as the result of 30,642 series A bonds into 30,642 series U shares and respective increase of the Company's share capital the Deutsche Balaton AG may hold 145,868 shares of the Company representing approximately 6.25% of the Company's share capital and entiting to 145,868 votes at the General Meeting of the Company representing approximately 6.25% of the total number of votes.

As the result of potential conversion of 30,642 series A bonds into 30,642 series U shares and respective increase of the Company's share capital the Deutsche Balaton AG and Heidelberger Beteiligungsholding AG jointly may hold 336,939 shares of the Company representing approximately 14.43% of the capital and entitling to 336,939 votes at the General Meeting of Shareholders of the Company representing approximately 14.43% of the total number of votes.

9. Indirect shareholders / beneficial owners of the shares in accordance with Article 69a sec. 1.3 of the Act:

The Companies are members of capital group of which the beneficial owner is Wilhelm K.T. Zours. The structure of the described capital group are indicated in the table below:
