Subject:Acquisition of a realestate in Wrocław
Legal basis: Art. 17.1 MAR -inside information
The management board of ArchicomS.A. (Issuer) informs that on 14 November 2023, affiliated entityof the Issuer, i.e. the company under the business name ofIssognesp. z o.o.with its registered office in Warsaw as the buyer (Buyer)andSpravia sp. z o.o.with its registered office in Warsaw asthe seller (Seller, whereas the Buyer together with the Sellerwill hereinafter jointly be referred to as theParties),concluded the agreement on transfer of the perpetual usufruct right andthe ownership right (jointly as theAgreement).
On the basis of the Agreement,the Seller transferred to the Buyer:
(a)_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;perpetual usufructright to the undeveloped plots of land nos. 5/9, 7/36, 7/40 as well asto the developed plot of land no. 5/10, located in Wrocław, atWładysława Reymonta street, precinct 0051, Kleczków, for which theDistrict court for Wrocław - Krzyki in Wrocław, IV Division of Land andMortgage Registers maintains the land and mortgage registers nos.WR1K/00059660/2and WR1K/00101242/6, located in Wrocław, at. Władysława Reymonta street;
(b)_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;the ownership rightto the buildings and structures developed on the land.
Due to execution of the Agreementthe Seller: (i) transferred to the Buyer the intellectual propertyrights to the design documentation; (ii) granted its consent fortransfer of the administrative decisions issued with respect to theabove properties to the Buyer; as well as (iii) transferred to the Buyerother rights and receivables connected with the investment project to bedeveloped on the above properties.
Price for acquisition of theperpetual usufruct right of the above properties, as well as theownership right to the buildings and structures located on the landamounted to PLN 69,379,563.09 net + VAT, whereas the remuneration fortransfer of the above rights and decisions amounted to 2,620,436.91 PLNnet + VAT.
The provisions of the Agreementand other transaction documents do not differ from the provisions usedin these types of transactions. The Agreement contains standardprovisions for this type of transaction regarding representations andwarranties of the seller and the buyer and regarding the Parties'liability.
The conclusion of the Agreementis in line with the Issuer's investment policy and aims at developingthe Issuer's activity on the residential real estate market in Wrocław.
