Title:Execution of a non-exclusive agreement for the distribution ofthe Issuer's technological solutions in Singapore and selected Asiancountries.

Legal basis:Article 17 (1) MAR.

Content of the Report:The Management Board of XTPL S.A. [_quot;Issuer_quot;,_quot;Company_quot;, _quot;XTPL_quot;] announces that on December 1, 2023, a distributionagreement for the Issuer's technology solutions [_quot;Agreement_quot;] was signedbetween the Issuer and Singapore-based Trident Electronics TechnologiesPte Ltd [_quot;TET_quot;, _quot;Distributor_quot;].

Under the signed Agreement, the Distributor will advertise and sellXTPL's technology solutions in Singapore, Malaysia, Indonesia, Thailand,Vietnam and the Philippines. The cooperation is aimed at supporting XTPLin finding wider applications for its technologies and products intechnology corporations, R_amp;D centers and academic units, and will focuson introducing solutions in the semiconductor and SMT.

Trident Electronics Technologies has 20 years of experience in sellinghigh-tech equipment and consumables in the Asian region. As part of thecooperation, Trident Electronics Technologies will promote the XTPLsolution to its existing and new customers.

The Issuer's Management Board considered the fact of concluding theAgreement in question for distribution to a significant market asconfidential information, since its implementation may have asignificant impact on the Issuer's future revenue situation, thepopularization of the Company's technological solutions, as well as onthe perspective of investors' perception of the Issuer.

In view of the above, in the opinion of the Management Board, theinformation on the conclusion of the Agreement meets the criteriaindicated in Article 7(1) of the MAR Regulation.
