Subject:Acquisition of a real estate in Łódź

Legal basis: Art. 17.1 MAR - inside information

The management board of Archicom S.A. (Issuer)informs that on 1 December 2023, Archicom Łódź sp. z o.o. (an affiliatedentity of the Issuer), as the buyer (Buyer) and Ghelamco NCŁ sp.z o.o. with its registered office in Warsaw, a company belonging to theGhelamco group, as the seller (Seller, whereas the Buyer togetherwith the Seller will hereinafter jointly be referred to as theParties),entered into a conditional agreement for the sale of the ownership rightto a_#160;real estate located inŁodź owned by the Seller (Conditional Agreement).

On the basis of the concluded Conditional Agreement,the Buyer, subject to non-execution of the pre-emption right to theproperty by the City of Łódź, will purchase the Seller's real property,including:

(a)_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;the ownership right of the land plotswith the cadastral numbers 379, 380, 381, 382, 383 cadastral districtS-2, for which the District Court for Łódź-Śródmieście in Łódź, XVIDepartment of Land and Mortgage Registers, keeps the land and mortgageregister no.LD1M/00315342/4,located in Łódź_#160;inthe area of Wojciecha Hasa street, and

(b)_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;the ownership right of any structureslocated on this land;

(c)_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;other rights related to the realestate, including the rights to the building permits issued for theproperty.

The provisions of the Conditional Agreement do notdiffer from the provisions used in these types of transactions. TheConditional Agreement contains standard provisions for this type oftransaction regarding representations and warranties of the seller andthe buyer and regarding the Parties' liability.

The value of the transaction amounts to PLN90,000,000, increased by VAT.

The conclusion of the Conditional Agreement is inline with the Issuer's investment policy and aims at developing theIssuer's activity on the residential real estate market in Łódź.
