Management Board of Black Pearl S.A. ("Issuer", "Company") hereby informs about changes in the agenda of the Extraordinary General Meeting of the Issuer convened on December 21, 2023, at 10:00, at the Paweł Orłowski Notary Office, ul. gen. Józefa Zajączka 8 in Warsaw (01-522 Warszawa), introduced at the request of the majority shareholder, regarding:  

\- appointment of Janusz Andrzej Skopowski to the Company's Supervisory Board,  

\- consent of the General Meeting for the Management Board to carry out the necessary activities aimed at achieving dual-listing of the Company's shares on the parallel market of the stock exchange in India, leaving the selection of the stock exchange to the decision of the Management Board.  

At the same time, the Management Board modified the content of the consolidated text of the Articles of Association of Black Pearl S.A. proposed in the draft resolution arranging the numbering of the clauses.  

Attached is the text of the modified announcement of convening the Extraordinary General Meeting and the modified draft resolutions.

Zarząd Black Pearl S.A. ("Emitent", "Spółka") niniejszym informuje o zmianach w porządku obrad Nadzwyczajnego Walnego Zgromadzenia Emitenta zwołanego na dzień 21 grudnia 2023 r., na godzinę 10:00, w Kancelarii Notarialnej Paweł Orłowski, przy ul. gen. Józefa Zajączka 8 w Warszawie (01-522 Warszawa), wprowadzonych na żądanie akcjonariusza większościowego, dotyczących:  

\- powołania Janusza Andrzeja Skopowskiego w skład Rady Nadzorczej Spółki,  

\- zgody Walnego Zgromadzenia na przeprowadzenie przez Zarząd niezbędnych czynności zmierzających do doprowadzenia do podwójnych notowań walorów Spółki na rynku równoległym giełdy papierów wartościowych w Indiach, pozostawiając wybór giełdy do decyzji Zarządu.  

Jednocześnie Zarząd zmodyfikował proponowaną w projekcie uchwały treść tekstu jednolitego Statutu Black Pearl S.A. porządkując numerację poszczególnych zapisów.  

W załączeniu Zarząd przekazuje treść zmodyfikowanego ogłoszenia o zwołaniu Nadzwyczajnego Walnego Zgromadzenia oraz zmodyfikowanych projektów uchwał.
