Działając w imieniu własnym, na podstawie Acting on my own behalf, pursuant to Article art. 69 ust. 1 w zw. z art. 69a ust. 1 pkt 3 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (Dz. U. z 2022 r., poz. 2554, z późn. zm.) (dalej: "Ustawa"), z uwagi na to, że

i. Paravita Holding Limited z siedzibą w Nikozji, adres: Thasou 3, DADLAW BUSINESS CENTRE NEO, Nikozja, Cypr, kod LEI: 213800Z54YYEXLEXJQ42 (dalej: "Paravita") nabyła akcje spółki Intersport Polska S.A. z siedzibą w Cholerzynie, Polska (dalej: "Spółka") i przekroczyła 33 i 1/3%

69 sec. 1 in conjunction with Article 69a sec. 1 point 3 of the Act of 29 July 2005 on public offering, conditions governing the introduction of financial instruments to organized trading, and public companies (Journal of Laws of 2022, item 2554, as amended) (hereinafter: the "Act"), whereas:

i. Paravita Holding Limited with its registered seat in Nicosia, address: Thasou 3, DADLAW BUSINESS CENTRE NEO, Nicosia, Cyprus, LEI code: 213800Z54YYEXLEXJQ42 (hereinafter: "Paravita") acquired shares in Intersport Polska S.A., with its

Gałyna Gerega jest podmiotem iii. iii. dominującym w rozumieniu art. 4 pkt 14 Ustawy względem Solidez,

İV. Gałyna Gerega powzięła informacje iv. o złożeniu przez Paravita 7 listopada 2023 zawiadomienia o bezpośrednim nabyciu akcji Spółki przez Paravita,

Ustawy, Gałyna Gerega zawiadamia, że:

Paravita nabyła bezpośrednio akcję Spółki i przekroczyła bezpośrednio 33 i 1/3% ogólnej łącznie reprezentujących 51,30%

Paravita is a subsidiary within the meaning of Article 4 point 15 of the Act of the Solidez OG Foundation, with its registered seat in Vaduz, address: Heiligkreuz 6, 9490 Vaduz, Liechtenstein (hereinafter: "Solidez") in which Solidez holds 100% of the shares,

Gałyna Gerega is a controlling entity within the meaning of Article 4 point 14 of the Act in relation to Solidez,

Galyna Gerega has learned that Paravita has filed a notice of direct acquisition of the Company's shares by Paravita on 7 November 2023,

(dalej: "Subskrypcja Prywatna"), które to akcje Spółki wyemitowane w związku z Subskrypcją Prywatna zostały zarejestrowane w rejestrze przedsiębiorców Krajowego Rejestru Sadowego postanowieniem Sądu z dnia 6 listopada 2023 r.

W rezultacie, wskutek Subskrypcji Prywatnej doszło jednocześnie do pośredniego nabycia w rozumieniu art. 69a ust. 1 pkt 3 Ustawy akcji Spółki przez fundację Solidez (jedynego udziałowca Paravita). Gałyna Gerega jest podmiotem dominującym w rozumieniu art. 4 pkt 14 Ustawy względem Solidez oraz Paravita, a zatem Gałyna Gerega wskutek Subskrypcji Prywatnej nabyła także pośrednio akcje Spółki na podstawie art. 69a ust. 1 pkt 3 Ustawy.

Przed Prywatną Subskrypcją Gałyna Gerega nie posiadała bezpośrednio ani pośrednio żadnych akcji Spółki.

meeting of the Company, on the basis of the Private Subscription Agreements concluded between the Company and Paravita on 7 July 2023, 10 July 2023 and 18 October 2023 (the "Private Subscription"), which shares of the Company issued in connection with the Private Subscription were registered in the Register of Entrepreneurs of the National Court Register by Court order dated 6 November 2023.

The Private Subscription resulted in an indirect acquisition within the meaning of Article 69a section 1 point 3 of the Act of shares in the Company by the Solidez Foundation (Paravita's sole shareholder). Galyna Gerega is a parent entity within the meaning of Article 4 point 14 of the Act in relation to Solidez and Paravita, and therefore Galyna Gerega, as a result of the Private Subscription, also indirectly acquired shares in the Company pursuant to Article 69a section 1 point 3 of the Act.

Gałyna Gerega, jako podmiot dominujący w rozumieniu art. 4 pkt 14 Ustawy względem Solidez oraz Paravita, na podstawie art. 69a ust. 1 pkt 3 Ustawy posiada pośrednio 35.958.777 akcji Spółki, reprezentujących 51,30% kapitału zakładowego Spółki i uprawniających do wykonywania 35.958.777 głosów na walnym zgromadzeniu Spółki, co stanowi 49,94% ogólnej liczby głosów na walnym zgromadzeniu Spółki.

Galyna Gerega, as a controlling entity within the meaning of Article 4 point 14 of the Act with respect to Solidez and Paravita, indirectly holds, pursuant to Article 69a section 1 point 3 of the Act, 35,958,777 shares in the Company, representing 51.30% of the Company's share capital and carrying 35,958,777 votes at the Company's general meeting, representing 49.94% of the total number of votes at the Company's general meeting.
