NOTIFICATION OF THE INDIRECT ACQUISITION OF SHARES AND ON EXCEEDING 33 AND 1/3% OF THE TOTAL NUMBER OF VOTES AT THE GENERAL MEETING OF THE COMPANY

Pursuant to Article 69 sec. 1 pt 1 in Na podstawie art. 69 ust. 1 pkt 1 w zw. z art. conjunction with Article 69a sec. 1 pt 3 of the Act of 29 July 2005 on public offering, conditions governing the introduction of financial instruments to organized trading. and public companies (Journal of Laws of 2022, item 2554, as amended) (hereinafter: the "Act"), acting on behalf of Solidez,

I hereby notify of the indirect acquisition by Solidez of shares of the company Intersport Polska S.A. with its registered office in Cholerzyn, Poland (hereinafter: the "Company") and on indirectly exceeding 33 and 1/3% of the total number of votes at the General Meeting of the Company.

This notification is filed after obtaining information on filing the notification on the direct acquisition of the Company's shares by Paravita Holding Limited with its registered office in Nicosia, Cyprus (hereinafter: "Paravita"), toward which the dominant entity within the meaning of Article 4 point 14 of the Act is Solidez, as its sole shareholder.

69a ust. 1 pkt 3 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (Dz. U. z 2022 r., poz. 2554, z późn. zm.) (dalej: "Ustawa"), działając w imieniu Solidez,

niniejszym zawiadamiam o pośrednim nabyciu przez Solidez akcji spółki Intersport Polska S.A. z siedziba w Cholerzynie, Polska (dalej: "Spółka") i o o pośrednim przekroczeniu 33 i 1/3% ogólnej liczby głosów na walnym zgromadzeniu Spółki.

Niniejsze zawiadomienie składane jest po powzięciu informacji o o złożeniu zawiadomienia o bezpośrednim nabyciu akcji Spółki przez Paravita Holding Limited z siedzibą w Nikozji, Cypr (dalej: "Paravita") względem której podmiotem dominującym w rozumieniu art. 4 pkt 14 Ustawy jest Solidez. jako jej jedyny udziałowiec.

The indirect acquisition of the Company's shares and exceeding indirectly 33 and 1/3% of the total number of votes at the General Meeting of the Company by Solidez occurred in connection with the direct acquisition by Paravita of the Company's shares and exceeding by Paravita directly 33 and 1/3% of the total number of votes at the General Meeting of the Company due to the private subscription by Paravita in total of 35,958,777 shares of the Company, representing 51.30% of the Company's share capital and entitling to exercise 35,958,777 votes at the General Meeting of the Company, which constitutes 49.94% of the total number of votes at the General Meeting of the Company, on the basis of the private subscription agreements concluded between the Company and Paravita on 7 July 2023, 10 July 2023 and 18 October 2023 (hereinafter: the "Private Subscription"), due to the fact that Solidez is toward Paravita the dominant entity within the meaning of Article 4 point 14 of the Act, as its sole shareholder.

The Company's shares issued with regard to the Private Subscription have been registered in the register of entrepreneurs of the National Court Register by the Court's decision on 6 November 2023.

1. The number of shares held before the change of shareholding and their percentage share in the Company's share capital and the number of votes attached to these shares and their percentage share in the total number of votes

Prior to the Private Subscription Solidez did not directly or indirectly hold any shares of the Company.

The number of shares currently held and their percentage share in the Company's share capital, as well as the number of votes attached to these shares and their percentage share in the total number of votes, and the total sum of the number of votes indicated on the basis of points 3, 7 and 8 of the Act and its percentage share in the total number of votes

Pośrednie nabycie akcji Spółki i pośrednie przekroczenie 33 i 1/3% ogólnej liczby głosów na walnym zgromadzeniu Spółki przez Solidez nastąpiło w związku z bezpośrednim nabyciem przez Paravita akcji Spółki i przekroczeniu przez Paravita bezpośrednio 33 i 1/3% ogólnej liczby głosów na walnym zgromadzeniu Spółki wskutek subskrypcji prywatnej przez Paravita łącznie 35.958.777 akcji Spółki, reprezentujących kapitału zakładowego Spółki i uprawniających do wykonywania 35.958.777 głosów na walnym zgromadzeniu Spółki, co stanowi 49,94% ogólnej liczby głosów na walnym zgromadzeniu Spółki, na podstawie umów subskrypcji prywatnej zawartych pomiędzy Spółką i Paravita w dniach 7 lipca 2023 r., 10 lipca 2023 r. oraz 18 października 2023 r. (dalej: "Subskrypcja Prywatna"), z uwagi na fakt, że Solidez jest wobec Paravita podmiotem dominującym w rozumieniu art. 4 pkt 14 Ustawy, jako jej jedyny udziałowiec.

Akcje Spółki wyemitowane w związku z Subskrypcja Prywatna zostały zarejestrowane w rejestrze przedsiębiorców Krajowego Rejestru Sadowego postanowieniem Sądu z dnia 6 listopada 2023 roku.

1. Liczba akcji posiadanych przed zmianą udziału i ich procentowy udział w kapitale zakładowym Spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów

Przed Prywatną Subskrypcją Solidez nie posiadała bezpośrednio ani pośrednio żadnych akcji Spółki.

As of the date of the preparation of this notification Solidez does not hold directly any zawiadomienia Solidez nie shares of the Company.

Due to the Private Subscription and as of the date of the preparation of this notification Solidez holds indirectly through Paravita 35,958,777 shares of the Company, representing 51.30% of the Company's share capital and entitling to exercise 35,958,777 votes at the General Meeting of the Company, which constitutes 49.94% of the total number of votes at the General Meeting of the Company.

As a result, the total number of votes at the General Meeting of the Company acquired by Solidez and their percentage share in the total number of votes, together with the total sum of the number of votes indicated on the basis of points 3, 7 and 8 of the Act and its percentage share in the total number of votes, equals:

• a) indirectly 35,958,777 votes, which constitutes 49.94% of the total number of votes.
• b) directly 0 votes, which constitutes 0% of the total number of votes.

W rezultacie, łączna suma liczby głosów na walnym zgromadzeniu Spółki nabyta przez Solidez i ich procentowy udział w ogólnej licznie głosów Spółki, wraz z łączną sumą liczby głosów wskazanych na podstawie pkt 3, 7 i 8 Ustawy i jej procentowym udziałem w ogólnej liczbie głosów, wynosi:

• a) pośrednio 35.958.777 głosów, co stanowi 49,94% ogólnej liczby ałosów.
• b) bezpośrednio 0 głosów, co stanowi 0% ogólnej liczby głosów.
