TheManagement Board of Agora S.A. with its registered office in Warsaw(_quot;Company_quot;, _quot;Agora_quot;), with reference to_#160;the regulatory filings no._#160;35/2017_#160;ofDecember 21, 2017,_#160;6/2018_#160;ofFebruary 16, 2018,_#160;40/2020_#160;ofNovember 13, 2020,_#160;43/2020_#160;ofDecember 11, 2020,_#160;21/2021_#160;ofNovember 10, 2021,_#160;23/2021_#160;ofDecember 9, 2021,_#160;37/2022_#160;ofNovember 8, 2022, 45/2022 of December 30, 2022 and 34/2023 of November9, 2023 informs that on December 18, 2023, Agora received the decisiondated December 12, 2023 issued by the Head of the First Mazovian TaxOffice in Warsaw on the registration of the agreement to_#160;extend theperiod of operation of the Agora Tax Capital Group (_quot;PGK_quot;), whichincludes Agora and the following subsidiaries: Grupa Radiowa Agory Sp.z_#160;o.o., Agora TC Sp. z_#160;o.o., Plan D Sp. z_#160;o.o., Helios S.A., AMS S.A.,Yieldbird Sp. z_#160;o.o. and Plan A Sp. z_#160;o.o.

Inthe agreement to_#160;extend the period of operation of the tax capitalgroup, Agora was indicated as a_#160;company representing PGK in the scope ofobligations under the Corporate Income Tax Act and the provisions of theTax Ordinance.

Theagreement on extending the period of operation of the PGK was concludedfor the period until 31 December 2024. The Company estimates that theextension of the operating period of the tax capital group may result ina_#160;reduction of the group's tax liability by approx. PLN 10 million in2024.

Legalbasis: Art. 17 sec. 1 of the Regulation of the European Parliament andof the Council (EU) No 596/2014 of 16 April 2014 on market abuse (marketabuse regulation) and repealing Directive 2003/6/EC of the EuropeanParliament and of the Council and Commission Directive 2003/124/EC,2003/125/EC and 2004/72/EC.
