Title: Sale of Delta Printing System device to the University of Surreyin the UK.

Legal basis: Article 17 (1) MAR - confidential information.Contentof the Report:The Management Board of XTPL S.A. [_quot;Issuer_quot;,_quot;Company_quot;, _quot;XTPL_quot;] announces that on December 20, 2023. The Company hasconfirmed an order placed by the University of Surrey in the UnitedKingdom for the supply of a Delta Printing System [_quot;DPS_quot;] device. TheIssuer has accepted the placed order, which is tantamount to theconclusion of a sales agreement. The Company will deliver and installthe indicated device in 2024.

The Delta Printing System device will be delivered to the AdvancedTechnology Institute at the University of Surrey, where, in particular,scientific research will be carried out in the area of flexible andprinted electronics or reliability of electronic devices.

Revenues generated from the current device order will have a positiveimpact on XTPL S.A.'s financial results achieved in 2024.

The Issuer's Management Board considered the sale of the DPS device tobe confidential information, as its realization may have a significantimpact on the Issuer's future revenue situation, the popularization ofthe Company's technological solutions, as well as the prospect ofinvestors' perception of the Issuer.

For the reasons described above, the information provided in thiscurrent report, in the opinion of the Issuer's Management Board, meetsthe criteria for confidential information within the meaning of Article7 (1) of MAR.
