Management Board of Black Pearl S.A. (hereinafter referred to as the "Issuer", "Company") with its registered office in Warsaw, informs that on December 21st, 2023, in the presence of Paweł Orłowski, notary public, running a notary office in Warsaw at ul. gen. Józefa Zajączka 8, an Extraordinary General Meeting was held.  

At the same time, the Management Board of the Company, pursuant to Article 70 item 3 of the Act on Public Offering, publishes a list of shareholders who at the Extraordinary General Meeting of the Company on December 21st, 2023 held at least 5% of the votes at the EGM.  

On December 21st, 2023, at the EGM, Mr. Janusz Andrzej Skopowski was present, holding 202,500,000 shares representing 82,54% of the share capital and entitling to 202,500,000 votes representing 82,54% of the total number of votes, which constituted 99,51% share in the share capital at the EGM and entitled to 99,51% votes at the EGM.  

Legal basis: Art. 70 item 3 of the Act on Public Offering - GMS list above 5%  

Zarząd Spółki Black Pearl S.A. (dalej "Emitent", "Spółka") z siedzibą w Warszawie informuje, iż w dniu 21 grudnia 2023 roku, w obecności notariusza Pawła Orłowskiego, prowadzącego kancelarię notarialną w Warszawie przy ulicy gen. Józefa Zajączka 8, odbyło się Nadzwyczajne Walne Zgromadzenie.  

Jednocześnie Zarząd Spółki zgodnie z art.70 pkt. 3 Ustawy o ofercie przekazuje do publicznej wiadomości wykaz akcjonariuszy, którzy na Nadzwyczajnym Walnym Zgromadzeniu Spółki w dniu 21 grudnia 2023 r. posiadali co najmniej 5% w głosach na NWZ.  

W dniu 21 grudnia 2023 r. na NWZ obecny był Pan Janusz Andrzej Skopowski posiadającego 202 500 000 akcji stanowiących 82,54% udziału w kapitale zakładowym oraz uprawniających do 202 500 000 głosów stanowiących 82,54% udziału w ogólnej liczbie głosów, co stanowiło 99,51% udziału w kapitale zakładowym na NWZ oraz uprawniało do 99,51% głosów na NWZ.
