Title: Entering into a non-exclusive agreement to distribute theIssuer's technology solutions in Taiwan and China.

Content of the Report:The Management Board of XTPL S.A. [_quot;Issuer_quot;,_quot;Company_quot;, _quot;XTPL_quot;] announces that on January 23, 2024, a non-exclusivedistribution agreement for the Issuer's technology solutions[_quot;Agreement_quot;] was signed between the Issuer and Sigma TechnologyCorporation, headquartered in Taiwan and China [_quot;Sigma_quot;, _quot;Distributor_quot;].

Under the signed Agreement, the Distributor will advertise and sellXTPL's technology solutions in Taiwan and China. The cooperation isintended to support XTPL in finding new industrial Customers as well asseeking broader applications for its technologies and products and willfocus on introducing solutions in the semiconductor, new generationdisplays and optoelectronics fields.

Sigma is a leading company supplying manufacturing equipment andmaterials in Taiwan and China to industries such as semiconductor,photovoltaics, displays, PCB etc. As part of the cooperation, theDistributor will promote XTPL's solutions to its existing and newcustomers.

The Issuer's Management Board considered the fact that the DistributionAgreement in question was concluded for a significant market to beconfidential information, as its implementation may have a significantimpact on the Issuer's future revenue situation, the popularization ofthe Company's technological solutions, as well as the prospect ofinvestors' perception of the Issuer.

In view of the above, in the opinion of the Management Board, theinformation on the conclusion of the Agreement meets the criteriaindicated in Article 7(1) of the MAR Regulation.
