Conclusionof agreement with trade unions on reduction of employment at Agora S.A.TheManagement Board of Agora S.A. (_quot;Company_quot;) with its registered seat inWarsaw, in relation to_#160;regulatory filingno._#160;3/2024_#160;datedJanuary9, 2024, hereby informs about:(i)concluding on January 29, 2024 an agreement_#160; with trade unions operatingat the Company (which fulfills the provisions of article 3, Section 1 ofthe Act of March 13, 2003 on Special Rules for Termination of Employmentfor Reasons Not Attributable to_#160;Employees) and with work council in theCompany (which constitutes an agreement in accordance with the Act ofApril 7, 2006 on informing and consulting employees) (_quot;Agreement_quot;),(ii)adopting by the Management Board of the Company on January 9, 2024resolution to_#160;execute collective redundancies in the Company, inaccordance with the provisions of the Agreement.Thecollective redundancies shall be executed from February12 until March31, 2024, and shall affect up to_#160;180 employees.Inaccordance with the Agreement, the laid-off employees will be providedby the Company with a_#160;wider range of supportive measures than requiredby law. In case the agreement on termination of employment is concluded,the redundancy payment estimated according to_#160;law regulations shall beincreased by an additional compensation in the amount depending on theseniority at the Company and an additional benefit for persons who,prior to the employment at the Company, were a party to a civil contractwith the Company lasting at least one year. The laid-off employees shallbe supported by additional protective measures provided by the Company,i.a. help in searching for new job and reskilling, psychological careand basic medical care until the end of 2024. The Company, in accordancewith requirements of law, shall submit an appropriate set ofinformation, together with the signed Agreement, to_#160;a_#160;relevant LaborOffice.Theestimated amount of provision for collective redundancies which will becharged to_#160;the Company and Agora Group's result in 1Q2024, shall amountto_#160;approximately PLN 10 million.TheCompany shall provide its estimates of costs and savings related to_#160;theprocess of collective redundancies in the Management Discussion andAnalysis for 1Q2024.
