Consideration of and voting on a resolution to approve the subscription for shares in the increased share capital of Polska Spółka Gazownictwa sp. z o.o. of Tarnów (Number in the National Court Register: KRS 0000374001) in exchange for a contribution in kind in the form of property, plant and equipment comprising transmission infrastructure, i.e., gas pipelines and related gas network assets, land and perpetual usufruct of land.

Acting pursuant to Art. 7.7.15 of the Company's Articles of Association, the Extraordinary General Meeting of the Company hereby resolves as follows:

Section 1

    1. The Extraordinary General Meeting approves the disposal of 100% of shares held by the Company in Gas Storage Poland Sp. z o.o. of Dębogórze, a gas storage system operator, ("GSP Shares") to an Independent Investor meeting the conditions specified in Decision No. DKK - 82/2022 of the President of the Office of Competition and Consumer Protection, dated March 16th 2022, approving the Company's merger with Polskie Górnictwo Naftowe i Gazownictwo S.A.
    1. The Extraordinary General Meeting approves the sale of GSP Shares without holding a tender procedure, at a price corresponding to market prices, as determined based on valuations prepared by reputable auditing and consulting firms acting on behalf of both parties to the transaction.

Section 2

This Resolution shall take effect as of its date.

to approve the disposal by the Company of properties situated in the Stara Biała Municipality and Płock, together with their component parts, to be effected through their contribution in kind as payment for shares in the increased share capital of ORLEN Olefiny Spółka z ograniczoną odpowiedzialnością of Płock (KRS No. 0000906575) ("ORLEN Olefiny") in connection with the continued construction of the Olefins III Complex (the "Project") by ORLEN Olefiny and the process of raising financing for the Project in the form of project finance.

Acting pursuant to Art. 393.4 of the Commercial Companies Code and Art. 7.7.8 of the Company's Articles of Association, the Extraordinary General Meeting of the Company hereby resolves as follows:

Section 1

  1. The Extraordinary General Meeting of the Company hereby approves the disposal of the following properties to ORLEN Olefiny: (i) plots no. 216/12, 216/15, 217/4, 65/22, 65/23, situated in the Stara Biała Municipality, areas: 001, Biała, 008, Draganie Nowe, for which at the time of this Resolution the District Court in Płock, 6th Land and Mortgage Register Division, maintains land and mortgage register entry no. PL1P/00143299/1, and (iii) plot no. 20/109, situated in Płock, area 0013, Kombinat, for which at the time of this Resolution the District Court of Płock, 6th Land and Mortgage Register Division, maintains land and mortgage register entry no. PL1P/00142596/6, together with their component parts, to be effected through their contribution in kind to ORLEN Olefiny and through subscription, in exchange, for new shares in the increased share capital of ORLEN Olefiny.

  2. The properties referred to in Section 1.1 above shall be disposed of in the manner set out in this Resolution, based on their fair value determined by a professional provider of asset valuation services possessing relevant expertise.

to approve the disposal of an organised part of the Company's business to PGNiG Upstream Polska Spółka z ograniczoną odpowiedzialnością of Warsaw (Number in the National Court Register: KRS 0000919530), to be effected by contributing the organised part of business to PGNiG Upstream Polska as a contribution in kind and subscribing for all new shares in increased share capital of PGNiG Upstream Polska Spółka z ograniczoną odpowiedzialnością

Acting pursuant to Art. 393.3 and 393.4 of the Commercial Companies Code and Art. 7.7.7 and 7.7.8 of the Company's Articles of Association, having regard to the request of the Company's Management Board contained in Management Board Resolution No. 8474/23 of December 5th 2023 and the positive opinion of the Company's Supervisory Board, and considering that:

  • 1) November 2nd 2022 saw the merger of the Company and Polskie Górnictwo Naftowe i Gazownictwo Spółka Akcyjna ("PGNiG"), effected through the transfer of all assets of PGNiG, as the acquiree, to the Company, as the acquirer (the "Merger");
  • 2) As a result of the Merger, the Company's business came to include, among others, the intangible and tangible components which formerly were part of PGNiG's business, in particular those used to conduct operations in the area of hydrocarbon exploration and appraisal and hydrocarbon production from reserves in Poland, including preparation of extracted hydrocarbons (through appropriate technological processes) for sale, their first sale, storage of substances in underground caverns (in relation to the Bonikowo and Daszewo storage facilities), underground storage of waste, and the related generation of electricity and heat (the "Upstream");
  • 3) It is planned that the business of the Company and the Company's group will undergo a restructuring (the "Restructuring") in order to consolidate the tangible and intangible components, including liabilities, intended for operations in the Upstream segment and currently constituting an organised part of the Company's business (the "Organised Part of Business") within PGNIG Upstream Polska Spółka z ograniczoną odpowiedzialnością of Warsaw (KRS: 0000919530) ("PGNIG Upstream Polska"), which is a subsidiary of the Company;
  • 4) The Organised Part of Business is to be disposed of by contributing it as a contribution in kind from the Company to PGNIG Upstream Polska in exchange for shares in the increased share capital of PGNIG Upstream Polska;

It is resolved as follows:

Section 1

    1. The Extraordinary General Meeting of the Company approves the disposal of the Organised Part of Business to PGNIG Upstream Polska by contributing it as a contribution in kind and subscribing in exchange for all new shares in the increased share capital of PGNIG Upstream Polska; upon the acquisition of the Organised Part of Business by PGNIG Upstream Polska, PGNIG Upstream Polska will also take over the part of the Company's workplace establishment which is related to the operations of the Organised Part of Business.
    1. As of the date of this Resolution, the Organised Part of Business comprises at least:
  • 1) Property, plant and equipment, property, plant and equipment under construction, intangible assets and inventories, as well as other movables relating to the Company's operations in the Upstream segment;
  • 2) Ownership and perpetual usufruct rights to property as set out in the tables constituting Appendix 1 to this Resolution;
  • 3) Receivables, rights, and obligations under contracts relating to the operation of the Organised Part of Business, including claims and rights under warranties or guarantees and security granted, including:
    • a) rights and obligations under the agreements (agreement) for the establishment of mining usufruct between the State Treasury and the Company, or between the State Treasury, the Company and a third party, or the mining usufruct established under the geological and mining licenses relating to the Company's operations in the Upstream segment,
    • b) rights and obligations under the agreements (agreement) for the use of geological information between the State Treasury and the Company, concluded in order to exercise the geological and mining licenses relating to the Company's operations in the Upstream segment and in order to prepare geological documentation and amend the licenses,
    • c) receivables, rights and obligations under contracts and agreements, including contracts related to conducting operations in the Upstream segment, without excluding cooperation agreements and joint operations agreements;

  • 4) rights to geological information:

    • a) which is owned solely by the Company, i.e., geological information produced between February 1st 1989 and December 31st 2001, to which Art. 47.1 of the Geological and Mining Law of February 4th 1994 applies in the wording in effect prior to the amendments introduced as of January 1st 2002,
    • b) which the Company has the right to use, including at least: (i) the rights to geological information produced from January 1st 2002 to December 31st 2011, as referred to in Art. 207.2 of the Geological and Mining Law of June 9th 2011 (the "Geological and Mining Law"); (ii) the rights to use the geological information referred to in Art. 99.2-4 of the Geological and Mining Law, to which Art. 99.6. of the Geological and Mining Law applies; and (iii) the rights to the geological information to which Art. 205.3 of the Geological and Mining Law applies,

  • including information produced on the basis of plans of geological operations, plans of geological operations, research projects, scientific studies (if applicable) and contained in geological documents not related to the exercise of licences forming part of the Organised Part of Business;

  • c) not specified above, the rights to which are vested in the Company to the extent necessary for the transfer and exercise of licences forming part of the Organised Part of Business;

  • 5) intellectual property rights and rights to use objects of intellectual property rights, necessary to operate the Organised Part of Business, as well as any other intangible components of the Organised Part of Business relating to the Company's operations in the Upstream segment;
  • 6) permits, licenses and other administrative decisions issued by government authorities, necessary for the operation of the Organised Part of Business, including geological and mining licenses relating to the Company's operations in the Upstream segment;
  • 7) cash in an amount equivalent to the funds accumulated by the Company in the Extraction Facility Decommissioning Fund, to the extent relating to the Organised Part of Business;
  • 8) source documents relating to the conduct of operations as part of the Organised Part of Business, including contracts, lists and accounting and bookkeeping records relating to the Organised Part of Business;
  • 9) tangible and intangible components not specified above, intended for the Company's operations in the Upstream segment.
    1. The Organised Part of Business does not include any tangible or intangible components, including liabilities, which are intended exclusively for the Company's business consisting in storage of substances in underground caverns (to the extent relating to the Kosakowo, Mogilno II, Wierzchowice, Husów, Brzeźnica, Swarzów and Strachocina storage facilities) and power generation related to this business.
    1. The value of the Organised Part of Business as at June 30th 2023, as determined based on a valuation prepared by the Company's third-party adviser, is PLN 26,244 million.

Section 2

This Resolution shall take effect upon adoption.

OF THE EXTRAORDINARY GENERAL MEETING OF ORLEN SPÓŁKA AKCYJNA (THE "COMPANY")

dated February 6th 2024

to approve the subscription for shares in the increased share capital of Polska Spółka Gazownictwa sp. z o.o. of Tarnów (Number in the National Court Register: KRS 0000374001) in exchange for a contribution in kind in the form of property, plant and equipment comprising transmission infrastructure, i.e. gas pipelines and related gas network assets, land and perpetual usufruct of land

Acting pursuant to Art. 7.7.15 of the Company's Articles of Association, the Extraordinary General Meeting of ORLEN S.A hereby resolves as follows:

Section 1

The Extraordinary General Meeting approves the subscription by ORLEN S.A. for newly issued shares in the increased share capital of Polska Spółka Gazownictwa sp. z o.o. of Tarnów (Number in the National Court Register: KRS 0000374001), and specifically 3,934,259 (three million, nine hundred and thirty-four thousand, two hundred and fifty-nine) shares with a par value of PLN 50.00 (fifty złoty) per share and total value of PLN 196,712,950.00 (one hundred and ninety-six million, seven hundred and twelve thousand, nine hundred and fifty złoty, 00/100), and payment for the newly issued shares with a contribution in kind in the form of property, plant and equipment comprising transmission infrastructure, i.e. gas pipelines and related gas network assets, the detailed list of which is attached as Appendix 1 to this Resolution, as well as land and perpetual usufruct of land, the list and detailed description of which is attached as Appendix 2 to this Resolution, by transferring the rights to the abovementioned non-current assets to Polska Spółka Gazownictwa sp. z o.o. of Tarnów, with the amount exceeding the par value of the shares, of PLN 9.00 (nine złoty), to be transferred to the statutory reserve funds. The total market value of the property, plant and equipment specified above is PLN 196,712,959.00 (one hundred and ninety-six million, seven hundred and twelve thousand, nine hundred and fifty-nine złoty, 00/100).

Section 2

This Resolution shall take effect upon adoption.
