Subject:Expiration of significant agreement with a shareholder

The Management Board of CI Games SE with its registered office in Warsaw(the _quot;Company_quot;), with reference to the current report No. 14/2024 datedApril 19, 2024, announces that the conditional agreement concludedbetween the Company and Active Ownership Fund SICAV-FIS SCS ("AOF") andTrigon Dom Maklerski S.A.("TDM") regarding subscription of series M newissue shares by AOF (the "Agreement") has expired. The Agreement expireddue to the failure of a condition, i.e., the parties of the Agreementdid not conclude a pricing agreement including a final subscriptionprice satisfactory to AOF by April 26, 2024.
