### **APERTURA DELL'UNDICESIMO PERIODO DI ESERCIZIO DEI "***WARRANT ELES 2019- 2026***" 16 – 20 GIUGNO 2025**

Todi (PG), 13 giugno 2025 – ELES S.p.A., PMI innovativa società quotata su Euronext Growth Milan e fornitore mondiale di soluzioni per il test dei dispositivi a semiconduttore (*IC Integrated Circuits*) con applicazioni Safety e Mission Critical, comunica che dal 16 giugno 2025 si aprirà l'undicesimo periodo di esercizio dei "*Warrant Eles 2019-2026*" codice ISIN IT0005374258 (i "**Warrant**").

I portatori dei Warrant potranno richiederne l'esercizio a decorrere dal 16 giugno 2025 e fino al 20 giugno 2025, estremi inclusi (il "**Periodo di Esercizio**"), in ciascun giorno lavorativo bancario. Le richieste dovranno essere presentate all'intermediario aderente a Monte Titoli S.p.A. presso cui sono depositati i Warrant.

I portatori dei Warrant potranno sottoscrivere azioni ordinarie Eles di nuova emissione, prive del valore nominale, ammesse alla quotazione su Euronext Growth Milan (le "**Azioni di Compendio**") nel rapporto di una Azione di Compendio ogni due Warrant presentati per l'esercizio. Con riferimento al Periodo di Esercizio, il prezzo di esercizio dei Warrant è pari ad Euro 2,20 per ciascuna Azione di Compendio sottoscritta. Le Azioni di Compendio avranno godimento pari a quello delle azioni ordinarie negoziate su Euronext Growth Milan alla data di emissione delle Azioni di Compendio.

Nel caso in cui all'atto dell'esercizio dei Warrant spettasse un numero non intero di Azioni di Compendio, il portatore dei Warrant avrà diritto di ricevere Azioni di Compendio fino alla concorrenza del numero intero immediatamente inferiore e non potrà far valere alcun diritto con riferimento alla parte frazionaria eccedente.

Il prezzo di sottoscrizione delle Azioni di Compendio dovrà essere integralmente versato all'atto della presentazione delle richieste di esercizio, senza aggravio di commissioni e di spese a carico dei richiedenti. Le Azioni di Compendio sottoscritte dai titolari di Warrant durante il Periodo di Esercizio saranno rese disponibili per la negoziazione, per il tramite di Monte Titoli S.p.A., il giorno di liquidazione successivo al termine dell'ultimo giorno del Periodo di Esercizio.

Resta inteso che qualora i titolari dei Warrant non richiedano di sottoscrivere le Azioni di Compendio entro il termine finale del Periodo di Esercizio, essi perderanno il relativo diritto per il Periodo di Esercizio, fatta salva nuovamente la facoltà di esercitare i Warrant nel successivo periodo di esercizio.

In considerazione del fatto che il Periodo di Esercizio sarà ragionevolmente antecedente rispetto al periodo di adesione all'offerta pubblica di acquisto e scambio volontaria parziale annunciata da Mare Engineering Group S.p.A. (l'"**Offerta**"), i portatori di Warrant che intendessero apportare le Azioni di Compendio in adesione all'Offerta, potranno pertanto richiederne l'esercizio nel Periodo di Esercizio.

## **OPENING OF THE ELEVENTH EXERCISE PERIOD OF "ELES WARRANTS 2019-2026" 2025, JUNE 16 - 20**

Todi (PG), June 13, 2025 - ELES S.p.A., an innovative SME company listed on Euronext Growth Milan and a worldwide provider of semiconductor device test solutions (*IC Integrated Circuits*) with *Safety and Mission Critical* applications, announces that from June 16, 2025 the eleventh exercise period of the "*Eles 2019-2026 Warrants*" ISIN code IT0005374258 (the "**Warrants**") will open.

The holders of the Warrants will be able to request their exercise from June 16, 2025 until June 20, 2025, ends included (the "**Exercise Period**"), on each bank business day. Requests must be submitted to the intermediary member of Monte Titoli S.p.A. with which the Warrants are deposited.

Warrant holders may subscribe for newly issued Eles ordinary shares, no par value, admitted to listing on Euronext Growth Milan (the "**Conversion Shares**") in the ratio of one Conversion Share for every two Warrants submitted for exercise. With reference to the Exercise Period, the exercise price of the Warrants is Euro 2.20 for each Conversion Share subscribed. The Conversion Shares will have dividend rights equal to those of the ordinary shares traded on Euronext Growth Milan on the date of issue of the Conversion Shares.

In the event that a non-whole number of Conversion Shares is due upon exercise of the Warrants, the holder of the Warrants shall be entitled to receive Conversion Shares up to the next lower whole number and shall have no claim with respect to the fractional portion in excess thereof.

The subscription price of the Conversion Shares shall be paid in full at the time of submission of the exercise applications, with no additional fees and expenses charged to the applicants. The Conversion Shares subscribed by Warrant holders during the Exercise Period will be made available for trading, through Monte Titoli S.p.A., on the settlement day following the end of the last day of the Exercise Period.

It is understood that if Warrant holders do not request to subscribe for the Conversion Shares by the final deadline of the Exercise Period, they will lose the relevant right for the Exercise Period, subject again to the right to exercise the Warrants in the subsequent exercise period.

Considering that the Exercise Period will be reasonably prior to the acceptance period of the voluntary partial public tender offer and exchange offer announced by **Mare Engineering Group S.p.A.** (the "**Offer**"), the holders of the Warrants who intend to tender in the Offer the Conversion Shares, may therefore request their exercise during the Exercise Period.
