Den 13. juni 2025 kl. 10.30 ble det avholdt ordinær generalforsamling i EXACT Therapeutics AS ("**Selskapet**").

I henhold til fortegnelsen inntatt i Vedlegg 1 var 22 697 833 av totalt 63 263 347 utstedte aksjer og stemmer, som tilsvarer 35,88 % av det totale antall stemmeberettigede aksjer i Selskapet, representert på generalforsamlingen.

## **1 ÅPNING AV GENERALFORSAMLINGEN, GODKJENNELSE AV INNKALLING OG DAGSORDEN**

Styrelederen reiste spørsmål om det var noen bemerkninger til innkallingen eller dagsordenen. Da det ikke var noen innvendinger, ble innkallingen og dagsordenen ansett som godkjent. Styreleder erklærte generalforsamlingen for lovlig satt.

## **2 VALG AV MØTELEDER OG ÉN PERSON TIL Å MEDUNDERTEGNE PROTOKOLLEN**

Anders Wold ble valgt til møteleder. John M. Edminson ble valgt til å undertegne protokollen sammen med møtelederen.

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultat inntatt som Vedlegg 2 til protokollen.

### **MINUTES OF ANNUAL GENERAL MEETING**

The annual general meeting of EXACT Therapeutics AS (the "**Company**") was held on 13 June 2025 at 10:30 hours (CEST).

Generalforsamlingen ble avholdt digitalt. The general meeting was held electronically.

According to the record included as Appendix 1, 22,697,833 of a total of 63,263,347 issued shares and votes, corresponding to 35,88 % of the total number of voting shares in the Company, were represented at the general meeting.

Følgende saker ble behandlet: The following matters were considered:

### **1 OPENING OF THE GENERAL MEETING, APPROVAL OF THE NOTICE AND AGENDA**

The Chair asked whether there were any objections to the notice or the agenda. No such objections were raised. The notice and the agenda were thus considered approved. The Chair declared the general meeting as lawfully convened.

## **2 ELECTION OF CHAIR AND PERSON TO CO-SIGN THE MINUTES**

Anders Wold was elected to chair the meeting. John M. Edminson was elected to sign the minutes together with the chair of the meeting.

### **3 GODKJENNING AV ÅRSREGNSKAP OG STYRETS ÅRSBERETNING**

*Årsregnskapet, herunder konsernregnskap og årsberetning for regnskapsåret 2024, godkjennes. Det utdeles ikke utbytte for regnskapsåret 2024.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultat inntatt som Vedlegg 2 til protokollen.

### **4 GODKJENNELSE AV HONORAR TIL REVISOR 4 APPROVAL OF THE AUDITOR REMUNERATION**

*"Generalforsamlingen godkjenner honoraret til revisor for regnskapsåret 2024 på NOK 363 000."*

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultat inntatt som Vedlegg 2 til protokollen.

Samtlige styremedlemmer er på valg. All board members are up for election.

I samsvar med nominasjonskomiteens forslag besluttet generalforsamlingen å velge følgende styresammensetning:

- Leiv Askvig
- Ann-Tove Kongsnes
- Masha Strømme

## **3 APPROVAL OF THE FINANCIAL STATEMENTS AND THE BOARD OF DIRECTORS' REPORT**

I samsvar med styrets forslag ble følgende vedtatt: In accordance with the Board of Director's proposal, the following resolution was made:

> *The annual accounts, including the group's annual accounts and the Board of Directors' report for the financial year 2024, are approved. No dividend is distributed for the financial year 2024.*

> The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to the minutes.

I samsvar med styrets forslag ble følgende vedtatt: In accordance with the board of director's proposal, the following resolution was made:

> *"The general meeting approves the remuneration to the auditor for the financial year 2024 of NOK 363,000."*

> The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to the minutes.

### **5 VALG AV STYREMEDLEMMER 5 ELECTION OF BOARD MEMBERS**

In accordance with the Nomination Committee's proposal, the general meeting resolved to elect the following Board composition:

### **6 VALG AV MEDLEMMER TIL NOMINASJONS-KOMITEEN**

Samtlige medlemmer av nominasjonskomiteen er på valg.

I samsvar med nominasjonskomiteens forslag vedtok generalforsamlingen følgende sammensetning av nominasjonskomiteen:

- Svein Kvåle (leder)
- Birgitte Gangmark Villmo
- Sir William Castell

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultat inntatt som Vedlegg 2 til protokollen.

### **7.1 Honorar for perioden frem til ordinær generalforsamling i 2026**

I samsvar med nominasjonskomiteens forslag vedtok generalforsamlingen følgende honorar til styrets medlemmer for perioden fra ordinær generalforsamling i 2025 til ordinær generalforsamling i 2026:

*"Generalforsamlingen godkjenner følgende honorar til styrets medlemmer:*

- *Styrets leder: NOK 450 000 per år*
- *Nestleder: NOK 350 000 per år*
- *Øvrige styremedlemmer: NOK 250.000 per år*

*Honoraret utbetales som kontantbeløp hvert kvartal." The remuneration is paid quarterly in cash."*

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultat inntatt som Vedlegg 2 til protokollen.

### **6 ELECTION OF NOMINATION COMMITTEE**

All members of the Nomination Committee are up for election.

In accordance with the Nomination Committee's proposal, the general meeting resolved to elect the following Nomination Committee composition:

- Svein Kvåle (Chair)
- Birgitte Gangmark Villmo
- Sir William Castell

The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to the minutes.

## **7 HONORAR TIL STYRETS MEDLEMMER 7 REMUNERATION TO THE MEMBERS OF THE BOARD OF DIRECTORS**

### **7.1 Remuneration for the period to the annual general meeting in 2026**

In accordance with the Nomination Committee's proposal the following resolution regarding remuneration to the members of the board of directors for the period from the annual general meeting in 2025 to the annual general meeting in 2026 was made:

*"The general meeting approves the following remuneration to the members of the Board of Directors:*

- *The Chair of the Board of Directors: NOK 450,000 per year*
- *Vice-chair: NOK 350,000 per year*
- *Other members of the Board of Directors: NOK 250,000 per year*

## **7.2 Opsjoner 7.2 Options**

I samsvar med nominasjonskomiteens forslag vedtok generalforsamlingen følgende:

- *Antall tildelte opsjoner til Jonathan Allis korrigeres til å være 632 633 opsjoner.*
- *Innløsningskurs for opsjonene tildelt styreleder justeres til NOK 3,88 per aksje, som tilsvarer den volumvektede prisen for de 10 handelsdagene før den ekstraordinære generalforsamlingen den 17. desember 2024.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultat inntatt som Vedlegg 2 til protokollen.

### **8 HONORAR TIL MEDLEMMENE AV NOMINASJONSKOMITEEN**

I samsvar med nominasjonskomiteens forslag vedtok generalforsamlingen følgende honorar til nominasjonskomiteens medlemmer for perioden fra ordinær generalforsamling i 2025 til ordinær generalforsamling i 2026:

*"Generalforsamlingen godkjenner følgende honorar til*  nominasjonskomiteen *medlemmer:* 

- *Komiteens leder: NOK 25 000*
- *Øvrige medlemmer: NOK 15 000"*

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultat inntatt som Vedlegg 2 til protokollen.

In accordance with the Nomination Committee's proposal, the general meeting made the following resolution:

- *The number of options allocated to Jonathan Allis is corrected to be 632,633 options.*
- *The exercise price for the options granted to the chairperson is adjusted to NOK 3.88 per share, which corresponds to the volume-weighted average share price for the 10 trading days preceding the extraordinary general meeting on 17 December 2024.*

The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to the minutes.

## **8 REMUNERATION TO THE MEMBERS OF THE NOMINATION COMMITTEE**

In accordance with the Nomination Committee's proposal the following resolution regarding remuneration to the members of the Nomination Committee for the period from the annual general meeting in 2025 to the annual general meeting in 2026 was made:

*"The general meeting approves the following remuneration to the members of the Nomination Committee:* 

- *The Chair of the Committee: NOK 25,000*
- *Other members: NOK 15,000"*

### **9 HONORAR TIL MEDLEMMENE AV KOMPENSASJONSUTVALGET 9 REMUNERATION TO THE MEMBERS OF THE REMUNERATION COMMITTEE**

I samsvar med nominasjonskomiteens forslag vedtok generalforsamlingen følgende honorar til kompensasjonsutvalget for perioden fra ordinær generalforsamling i 2025 til ordinær generalforsamling i 2026:

*"Generalforsamlingen godkjenner følgende honorar til kompensasjonsutvalget medlemmer:*

- *Komiteens leder: NOK 40 000*
- *Øvrige medlemmer: NOK 25 000.*

*"The general meeting approves the following remuneration to the members of the Audit Committee:* 

- *The Chair of the committee: NOK 40,000*
- *Other members: NOK 25,000*

*The remuneration is paid quarterly in cash."*

## **11 FULLMAKTER TIL STYRET TIL Å FORHØYE AKSJEKAPITALEN VED UTSTEDELSE AV NYE AKSJER**

**11.1 Fullmakt til å forhøye aksjekapitalen for å finansiere vekst**

*"Selskapets styre tildeles fullmakt til å gjennomføre kapitalforhøyelse, på følgende vilkår:*

- *a) Aksjekapitalen skal, i en eller flere omganger, kunne forhøyes med inntil NOK 75 916,0, tilsvarende 30 % av aksjekapitalen.*
- *b) Aksjonærenes fortrinnsrett etter aksjeloven § 10-4 kan fravikes av styret.*
- *c) Fullmakten gjelder fra registrering i Foretaksregisteret og frem til og med dato for ordinær generalforsamling i 2026, dog ikke senere enn 30. juni 2026.*
- *d) Fullmakten erstatter eksisterende fullmakt til kapitalforhøyelse gitt i ekstraordinær generalforsamling 17. desember 2024 når den blir registrert i Foretaksregisteret.*
- *e) Fullmakten skal omfatte kapitalforhøyelse mot innskudd i andre eiendeler enn penger, eller rett til å pådra Selskapet særlige plikter.*
- *f) Fullmakten omfatter kapitalforhøyelse i forbindelse med fusjon."*

**11.2 Styrefullmakt til kapitalforhøyelser i forbindelse med Selskapets aksjeopsjonsprogram for nøkkelansatte og i forbindelse med styrekompensasjon** **11 BOARD AUTHORISATIONS TO INCREASE THE SHARE CAPITAL BY ISSUANCE OF NEW SHARES**

## **11.1 Authorisation to increase the share capital in order to finance growth**

I samsvar med styrets forslag ble følgende vedtatt: In accordance with the board of director's proposal, the following resolution was made:

> *"The board of directors is authorised to increase the Company´s share capital, on the following conditions:*

- *a) The share capital may, in one or more rounds, be increased by a total amount of up to NOK 75,916.0 corresponding to 30% of the share capital.*
- *b) The preferential rights pursuant to Section 10- 4 of the Private Limited Liability Companies Act may be set aside by the board of directors.*
- *c) The authorisation shall be effective from the date it is registered in the Norwegian Register of Business Enterprises and shall be valid until and including the date of the annual general meeting in 2026, however no later than 30 June 2026.*
- *d) The authorisation replaces the current authorisation granted by the extraordinary general meeting on 17 December 2024 when registered in the Norwegian Register of Business Enterprises.*
- *e) The authorisation covers share capital increases against or the right to assume special obligations on behalf of the Company.*
- *f) The authorisation covers share capital increases in connection with mergers."*

**11.2 Board authorisation for share capital increases in connection with the Company's share options for Executive Management and in connection with Board compensation**

- *g) Aksjekapitalen skal, i en eller flere omganger, kunne forhøyes med inntil NOK 20 244,27 tilsvarende 8 % av aksjekapitalen.*

# **11.3 Fullmakt til styret til erverv av egne aksjer tilsvarende inntil 10 % av Selskapets aksjekapital**

I samsvar med styrets forslag ble følgende vedtatt: In accordance with the board of director's proposal, the following resolution was made:

> *"The Board is authorised to increase the Company´s share capital, on the following conditions:*

- *a) The share capital may, in one or more rounds, be increased by a total amount of up to NOK 20,244.27 corresponding to 8% of the share capital.*

# **11.3 Authorization for the board to acquire own shares equivalent to up to 10% of the Company's share capital**

I samsvar med styrets forslag ble følgende vedtatt: In accordance with the board of director's proposal, the following resolution was made:

- *a) Styret tildeles fullmakt til å erverve Selskapets egne aksjer i en eller flere omganger opp til en samlet pålydende verdi på NOK 25 305,33, som tilsvarer 10 % av Selskapets aksjekapital. Fullmakten omfatter også erverv av avtalepant i egne aksjer.*
- *b) Den laveste og høyeste kjøpesum som skal betales for aksjene som kan erverves i henhold til fullmakten, er henholdsvis NOK 1 og NOK 100 per aksje. Styret står for øvrig fritt med hensyn til på hvilken måte erverv og avhendelse av egne aksjer skal skje.*
- *c) Fullmakten gjelder frem til ordinær generalforsamling i 2026, men ikke lenger enn 30. juni 2026.*
