- **Il collocamento è stato effettuato tramite una procedura di** *accelerated bookbuilding* **avviata su richiesta dei Beneficiari**

*Milano, 12 giugno 2025* – Facendo seguito a quanto comunicato in data 11 giugno 2025, si rende noto che sono state collocate tutte le n. 4.981.118 azioni MAIRE S.p.A. ("**MAIRE**"), corrispondenti all'1,5% circa del numero complessivo di azioni ordinarie, ad un prezzo di Euro 10,25 per azione, per un controvalore complessivo lordo di circa Euro 51,1 milioni, consentendo anche la copertura degli oneri tributari a carico dei singoli Beneficiari in base alla normativa vigente (c.d. *sell-to-cover*).

Si ricorda che l'operazione è stata avviata su richiesta dei Beneficiari del Piano di Incentivazione di Lungo Termine 2022-2024 del Gruppo MAIR[E](#page-0-0)<sup>1</sup> e di un Beneficiario *"good leaver"* del Piano di Incentivazione di Lungo Termine 2023-2025 del Gruppo MAIRE[2](#page-0-1) e che la stessa è stata realizzata attraverso una procedura di *accelerated bookbuilding* riservata a investitori qualificati in Italia e istituzionali all'estero.

*Milan, 12 June 2025* – Following the press release issued on 11 June 2025, the placement of all no. 4,981,118 shares of MAIRE S.p.A. ("**MAIRE**"), corresponding to around 1.5% of the total number of ordinary shares, has been completed at a price of 10.25 euro per share. Gross proceeds from the sale amount to around 51.1 million euro, also allowing for the coverage of tax charges payable by the individual Beneficiaries pursuant to applicable regulations (so-called "sell-to-cover").

The transaction has been launched at the request of the Beneficiaries of the 2022-2024 Long-Term Incentive Plan of MAIRE Grou[p](#page-2-0)<sup>1</sup> and of a "good leaver" Beneficiary of the 2023-2025 Long-Term Incentive Plan of MAIRE Grou[p](#page-2-1) 2 , and has been carried out through an accelerated booking offering to qualified Italian investors and foreign institutional investors.

The settlement of the transaction (i.e. delivery of the shares and payment of the proceeds aimed at settling the tax charges) will take place on 16 June 2025.
