### TIP BOND 2025-2029

# Avviso integrativo sul prezzo di emissione relativamente al prestito obbligazionario fungibile, e da consolidarsi, con il prestito obbligazionario denominato "€290,500,000 4.625 per cent. Bonds due 21 June 2029"

Tamburi Investment Partners S.p.A. ("TIP" - tip.mi), gruppo industriale indipendente e diversificato quotato al segmento Euronext STAR Milan di Borsa Italiana S.p.A., che investe nelle eccellenze imprenditoriali, facendo seguito al comunicato del 26 maggio 2025 relativo all'approvazione e pubblicazione del prospetto di offerta e quotazione per il prestito obbligazionario non convertibile, *unrated*, non subordinato e non garantito (il "Prestito Obbligazionario") per un ammontare nominale massimo di euro 110 milioni, fungibile e da consolidarsi con le obbligazioni relative al prestito obbligazionario denominato "€290,500,000 4.625 per cent. Bonds due 21 June 2029" (ISIN XS2799786848) (il "Prestito Obbligazionario Originario"), comunica che il Prezzo di Emissione (*Issue Price*) delle obbligazioni relative al Prestito Obbligazionario (le "Obbligazioni") sarà pari al 101,75% del valore nominale (ovvero euro 1.017,5 per ogni euro 1.000 di valore nominale) e il Rendimento (*Yield*) delle Obbligazioni sarà pari al 4,141% su base annua. Si precisa che tale Rendimento è calcolato come rendimento a scadenza alla data di emissione (*Issue Date*) delle Obbligazioni e non è un'indicazione del rendimento futuro.

Equita SIM agirà quale Sole Placement Agent e, assieme a Banca Akros, agirà quale Joint Bookrunner nel contesto dell'offerta al pubblico.

TIP ricorda che l'offerta avrà inizio il 9 giugno 2025 alle ore 9.00 (CET) e si concluderà il 13 giugno 2025 alle ore 17.30 (CET), salvo modifica, proroga o chiusura anticipata disposte da TIP stessa e dai Joint Bookrunner. Eventuali modifiche o proroghe o chiusura anticipata saranno rese note con apposito comunicato.

Il codice ISIN temporaneo utilizzabile per la sottoscrizione delle Obbligazioni nell'ambito dell'offerta è XS3078563874 (l'"ISIN Temporaneo") e tale codice, non prima di 40 giorni dopo la data di emissione delle Obbligazioni, verrà automaticamente convertito nel codice ISIN XS2799786848 che identifica le obbligazioni relative al Prestito Obbligazionario Originario, attualmente in circolazione e quotate sul MOT, mercato regolamentato organizzato e gestito da Borsa Italiana S.p.A..

A seguito della conversione dell'ISIN Temporaneo le Obbligazioni di nuova emissione saranno fungibili con le obbligazioni relative al Prestito Obbligazionario Originario attualmente in circolazione.

### TIP BOND 2025-2029

# Notice on issue price relating to the fungible bond, to be consolidated, with the bond denominated "€290,500,000 4.625 per cent. Bonds due 21 June 2029"

Tamburi Investment Partners S.p.A. ( "TIP" – tip.mi), an independent and diversified industrial group listed on the Euronext STAR Milan segment of Borsa Italiana S.p.A., which invests in entrepreneurial excellence, following the press release on 26 May 2025 regarding the approval and publication of the offering and listing prospectus related to the non-convertible, unrated, unsubordinated, and unsecured bonds (the "Bonds") for a maximum nominal amount of Euro 110 million, fungible and to be consolidated with the bonds denominated "€290,500,000 4.625 per cent. Bonds due 21 June 2029" (ISIN XS2799786848) (the "Original Bonds"), it is announced that the Issue Price of the Bonds will be equal to 101.75% of the nominal value (i.e., Euro 1,017.5 for every Euro 1,000 of nominal value) and the Yield of the Bonds will amount to 4.141% on an annual basis. Please note that the Yield is calculated as the yield to maturity as of the Issue Date of the Bonds and is not an indication of future yield.

Equita SIM will act as Sole Placement Agent and, together with Banca Akros, will act as Joint Bookrunner in the context of the offering.

TIP recalls that the offering will begin on 9 June 2025 at 9:00 a.m. (CET) and will terminate on 13 June 2025 at 5:30 p.m. (CET), unless amended, extended, or early terminated by TIP and by the Joint Bookrunners. Any amendments, extensions, or early termination will be announced through a specific notice.

The temporary ISIN code to be used for the subscription of the Bonds as part of the offering is XS3078563874 (the "Temporary ISIN") and, no earlier than 40 days after the Bonds' issue date, this code will automatically be converted into ISIN code XS2799786848, which identifies the Original Bonds, currently outstanding and listed on the MOT, regulated marked organized and managed by Borsa Italiana S.p.A..

Following the conversion of the Temporary ISIN, the newly issued Bonds will become fungible with the Original Bonds currently outstanding.

Further information, including those regarding the aggregate principal amount of the Bonds, the numbers of the Bonds sold and the proceeds of the offering, will be announced through specific notice.
