# **DIFFERIMENTO DEL TERMINE DI APPROVAZIONE DEL PROGETTO DI BILANCIO DI ESERCIZIO AL 31.12.2024**

Torino (TO), 5 giugno 2025 - **OSAI Automation System S.p.A. S.B. (Ticker OSA)**, società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il *testing* su semiconduttori (la "**Società**" o "**Osai**"), facendo seguito ai comunicati stampa del 25 gennaio, 28 gennaio e 17 aprile scorsi, comunica che il Consiglio di Amministrazione della Società, riunitosi in data odierna, ha preso atto che, a oggi, non sono stati ancora conclusi gli accordi con il ceto creditorio nell'ambito della procedura di composizione negoziata della crisi (gli "**Accordi**").

In particolare, sebbene siano in corso le interlocuzioni con il predetto ceto creditorio, in considerazione delle incertezze sulle tempistiche relative alla conclusione degli Accordi – i quali consentirebbero alla Società di confermare le assunzioni del progetto di piano di risanamento di cui al comunicato stampa del 25 gennaio 2025, e quindi, ragionevolmente, la continuità aziendale – il Consiglio di Amministrazione ha verificato, allo stato, l'insussistenza dei presupposti per poter presentare un bilancio in continuità. Parimenti, ha constatato, altresì, che non vi sono i presupposti per poter presentare un bilancio con i criteri di liquidazione (tenuto conto del processo di ristrutturazione avviato). Infatti, tali Accordi con il ceto creditorio – le cui interlocuzioni sono in stato avanzato – potrebbero ragionevolmente consentire il superamento della crisi, tenuto conto anche della operatività attuale – e prospettica – della Società, caratterizzata da ordini in lavorazione e nuove commesse pervenute. Pertanto, come anticipato, non sussisterebbero, altresì, i presupposti per poter presentare un bilancio con i criteri di liquidazione.

Il Consiglio di Amministrazione ha quindi ritenuto necessario differire l'approvazione ad un momento in cui sia ragionevolmente più certa la soluzione della crisi.

Si evidenzia che l'impossibilità di approvare e rendere pubblico un bilancio di esercizio e un bilancio consolidato di gruppo al 31 dicembre 2024 entro la scadenza del 30 giugno 2025, comporta il mancato rispetto dei termini di cui all'art. 19 del Regolamento Emittenti Euronext Growth Milan.

Alla luce di tutto quanto precede, la Società comunica che, a seguito della positiva conclusione degli Accordi con il ceto creditorio, procederà a fornire al mercato indicazioni sulle date:

- della riunione del Consiglio di Amministrazione per l'approvazione del progetto di bilancio e del bilancio consolidato al 31 dicembre 2024; e
- della riunione dell'Assemblea degli Azionisti della Società per l'approvazione del bilancio al 31 dicembre 2024.

La Società provvederà a informare tempestivamente il mercato in caso di eventuali ed ulteriori informazioni in merito ai fatti sopra esposti.

## **POSTPONEMENT OF THE DEADLINE FOR APPROVAL OF THE ANNUAL DRAFT FINANCIAL STATEMENTS AS AT 31.12.2024**

*Turin, June 5th, 2025* –**Osai Automation System S.p.A. Benefit Company (Ticker: OSA),**  a company that operates in the field of design and production of machines and complete lines for automation and *testing* on semiconductors, further to the press releases of January 25th, January 28 th and April 17 th last, the Board of Directors of the Company, which met today, acknowledged that, as of today, the agreements with the creditors under the negotiated crisis settlement procedure (the "**Agreements**") have not yet been concluded.

In particular, although discussions are underway with the aforementioned creditors, in consideration of the uncertainties regarding the timing of the conclusion of the Agreements - which would allow the Company to confirm the assumptions of the draft recovery plan referred to in the press release of 25 January 2025, and therefore, reasonably, the going concern basis - the Board of Directors has verified, at this time, that the prerequisites for being able to present financial statements as a going concern do not exist. Similarly, it also noted that there are no prerequisites to be able to present a liquidation criteria balance sheet (taking into account the restructuring process underway). In fact, these Agreements with the creditors - whose discussions are at an advanced stage - could reasonably allow the crisis to be overcome, also taking into account the current - and prospective - operations of the Company, characterised by orders being processed and new orders received. Therefore, as anticipated, the conditions would not exist to be able to present a liquidation criteria balance sheet.

The Board of Directors therefore deemed it necessary to defer approval to a time when a solution to the crisis is reasonably certain.

It should be noted that the inability to approve and make public an annual financial statement and a consolidated group financial statement as at 31 December 2024 by the deadline of 30 June 2025, means that the deadlines set forth in Article 19 of the Euronext Growth Milan Issuers' Regulation will not be met.

In view of these considerations, the Company announces that, following the successful conclusion of the Agreements with the creditors, it will proceed to provide the market with information on the dates:

- the meeting of the Board of Directors to approve the draft financial statements and the consolidated financial statements as at 31 December 2024; and

- of the Shareholders' Meeting of the Company to approve the financial statements as at 31 December 2024
