COMUNICAZIONE DI VARIAZIONE DEL CAPITALE SOCIALE
Cerreto Guidi (FI), 5 giugno 2025 - Magis S.p.A. ("Magis" o la "Società"), società leader nella produzione di nastri adesivi personalizzati e sistemi di chiusura per il body care di adulti e infanzia, comunica di aver depositato presso il Registro delle Imprese di Firenze in data odierna il nuovo Statuto aggiornato a seguito i) della conversione 1:1 di n. 400.000 Price Adjustment Shares Terza Tranche in altrettante n. 400.000 azioni ordinarie Magis e ii) dell'emissione di n. 339.854 azioni ordinarie Magis conseguente all'esercizio di n. 1.180.466 Warrant Magis intervenuto nel mese di maggio, come anticipato nei precedenti comunicati stampa.
Lo Statuto aggiornato è disponibile sul sito internet della società www.magis.it (sezione Corporate Governance). La nuova composizione del capitale sociale, interamente sottoscritto e versato, è pertanto la seguente:

NOTICE OF CHANGE IN SHARE CAPITAL
Cerreto Guidi (FI), 5 th June 2025 - Magis S.p.A. ("Magis" or the "Company"), leading manufacturer of customised adhesive tapes and fastening systems for adult and infancy body care, announces that the new bylaws of the Company have been filed today with the Companies Register of Florence, following the issue of i) 400,000 ordinary shares of Magis deriving from the conversion of 400,000 Price Adjustment Shares Third Tranche in a 1:1 ratio and ii) of 339,854 ordinary shares of Magis deriving from the exercise of 1,180,466 Magis Warrants during the month of May, as previously announced.
The updated bylaws are available on the Company's website www.magis.it (Corporate Governance section). The new composition of the fully subscribed and paid-up share capital of Magisis therefore as shown below:
