## **INNKALLING TIL ORDINÆR GENERALFORSAMLING**

Styret i Black Sea Property AS ("**Selskapet**") innkaller med dette til ordinær generalforsamling.

- **Tid**: 25. juni 2025 kl. 12.00
- **Sted**: Lokalene til Advokatfirmaet CLP DA, Sommerrogata 13-15, 0255 Oslo.

Selskapets styre foreslår følgende dagsorden for generalforsamlingen:

- *1 Åpning av generalforsamlingen ved styreleder og opptak av fortegnelse over møtende aksjeeiere*
- *2 Valg av møteleder og en person til å medundertegne protokollen*
- *3 Godkjennelse av innkalling og dagsorden*
- *4 Godkjennelse av styrets forslag til årsregnskap og årsberetning for 2024*

## **NOTICE OF ANNUAL GENERAL MEETING**

The board of directors (the "**Board**" or the "**Board of Directors**") of Black Sea Property AS (the "**Company**") hereby convenes an annual general meeting.

**Time**: 25 June 2025 at 12:00 hours

**Place**: The offices of Advokatfirmaet CLP DA, Sommerrogata 13-15, 0255 Oslo.

The Board proposes the following agenda for the general meeting:

- *1 Opening of the meeting and recording of the participating and represented shareholders*
- *2 Election of chairman of the meeting and one person to co-sign the minutes*
- *3 Approval of the summoning of the meeting and the agenda*
- *4 Approval of the annual accounts and the directors' report for the year 2024*
- *5 Approval of the auditor's fee*
- *6 Remuneration to the Board*
- *7 Board election*
- *8 Reverse share split with prior share capital increase*
- *9 Authorization to increase the share capital – general purposes*
- *10 Authorization to acquire treasury shares*

Only those who are shareholders in the Company 5 (five) business days prior to the general meeting (i.e. 18 June 2025, the "**Record Date**"), are entitled to attend and vote at the general meeting, cf. Section 4-4 (3) of the Norwegian Private Limited Liability Companies Act.

Det er 261 837 583 stemmebærende aksjer i Selskapet per dato for denne innkallingen, og hver aksje gir én stemme. Selskapet har per datoen for denne innkallingen ingen egne aksjer.

Aksjeeiere som ikke selv har anledning til å delta på generalforsamlingen personlig kan gi fullmakt til styreleder Egil Melkevik eller andre til å stemme for deres aksjer ved å benytte vedlagte fullmaktsskjema.

I henhold til aksjeloven § 5-15 kan en aksjonær kreve at styremedlemmer og daglig leder på generalforsamlingen gir tilgjengelige opplysninger om forhold som kan innvirke på bedømmelsen av saker som er forelagt generalforsamlingen til avgjørelse, samt om selskapets økonomiske stilling, med mindre de opplysninger som kreves gitt om selskapets økonomiske stilling ikke kan gis uten uforholdsmessige store konsekvenser for selskapet.

Med vennlig hilsen for styret i Black Sea Property AS There are 261,837,583 shares in the Company that are entitled to vote as per the date of this notice, and each share carries one vote. The Company does not hold any treasury shares per the date of this notice.

Shareholders who are entitled to attend the general meeting in person may authorize the chairman Egil Melkevik or another person to vote for their shares by using the enclosed proxy form.

Pursuant to the Private Limited Liability Company Act (the "**PLCA**") section 5-15, any shareholder may demand directors and CEO to provide information to the general meeting about matters which may affect the assessment of matters submitted to the general meeting as well as the Company's financial position, unless information concerning the Company's financial position cannot be provided without causing disproportionate damage to the Company.

### **Til sak 7 – Styrevalg**

Valgperioden for samtlige styremedlemmer utløper ved den ordinære generalforsamlingen i *The Board members, including the Chairman, shall receive NOK 75,000 in remuneration for the period from the annual general meeting in 2024 to the annual general meeting in 2025.*

### **To item 7 – Board election**

The election period for all Board members expire at the annual general meeting in 2025. All of the 2025. Samtlige styremedlemmer stiller til gjenvalg, og det foreslås at generalforsamlingen fatter følgende vedtak:

*Egil Melkevik gjenvelges som styreleder, og Dag Espen Arnesen, Kåre Rødningen og Hans Fredrik Gulseth gjenvelges som styremedlemmer. Valgperioden for samtlige av styrets medlemmer skal være frem til ordinær generalforsamling i 2027.*

## **Til sak 8 – Aksjespleis med forutgående kapitalforhøyelse**

### 8.1 - Forslag om kapitalforhøyelse

Det vises til forslag om aksjespleis inntatt i sak 8.2 nedenfor.

Da Selskapets aksjer i dag ikke er delelig med 100, vil det i forkant av gjennomføringen av slik aksjespleis være nødvendig å gjennomføre en kapitalforhøyelse ved utstedelse av 17 nye aksjer. Styret foreslår at aksjene utstedes ved rettet emisjon mot MTB Invest AS (et nærstående selskap til styreleder Egil Melkevik) og at aksjeutstedelsen skjer til siste emisjonskurs på NOK 0,12 per aksje, slik at totalt tegningsbeløp i emisjonen vil være NOK 2,04.

Styret foreslår derfor at generalforsamlingen fatter følgende vedtak:

- *(i) Selskapets aksjekapital forhøyes med NOK 0,85 ved utstedelse av 17 nye aksjer, pålydende NOK 0,05.*
- *(ii) Aksjene tegnes til kurs NOK 0,12 per aksje.*
- *(iii) De nye aksjene skal tegnes av MTB Invest AS, ved tegning på separat tegningsblankett innen én uke etter generalforsamlingens tidspunkt. Aksjonærenes fortrinnsrett til tegning av aksjene settes følgelig til side.*
- *(iv) Tegningsbeløpet skal betales innen én uke etter tegning til en særskilt emisjonskonto.*
- *(v) De nye aksjene gir fulle aksjonærrettigheter*

Board members are willling to be re-elected, and it is proposed that the General Meeting passes the following resolution:

*Egil Melkevik is re-elected as Chairman, and Dag Espen Arnesen, Kåre Rødningen and Hans Fredrik Gulseth are re-elected as Directors. The election term for all of the members of the Board shall be until the annual general meeting in 2027.*

## **To item 8 – Reverse share split with prior share capital increase**

## 8.1 - Proposal for share capital increase

Reference is made to the proposed share consolidation included under item 8.2 below.

As the Company's shares currently cannot be divided by 100, prior to the completion of the share consolidation, the Company will need to complete a share capital increase through the issuance of 17 new shares. The Board proposes that the shares are issued through a directed share issue towards MTB Invest AS (a company closely associated with Chairman Egil Melkevik, and that the issuance is made at the latest share issue price of NOK 0.12 per share, so that the total subscription amount in the share issue will be NOK 2.04.

The Board therefore proposes that the general meeting passes the following resolution:

- *(i) The Company's share capital shall be increased by NOK 0.85 through the issuance of 17 new shares, each with a nominal value of NOK 0.05.*
- *(ii) The new shares shall be subscribed at NOK 0.12 per share.*
- *(iii) The new shares shall be subscribed by MTB Invest AS, through subscription on a separate subscription form within one week after the date of the general meeting. The shareholders' preferential rights to subscribe for the new shares are thus set aside.*

*i Selskapet, inkludert rett til utbytte, fra tidspunktet for registrering av kapitalforhøyelsen i Foretaksregisteret.*

- *(vi) Selskapets kostnader i forbindelse med kapitalforhøyelsen anslås til NOK 10,000.*
- *(vii) Selskapets vedtekter § 4 skal oppdateres til å reflektere ny aksjekapital og nytt antall aksjer etter kapitalforhøyelsen.*

8.2 - Forslag om aksjespleis

Styret foreslår at det gjennomføres en aksjespleis i forholdet 100:1, slik at 100 eksisterende aksjer, hver med pålydende verdi NOK 0,05, skal slås sammen til én aksje med pålydende verdi NOK 5. Gjennomføring av slik aksjespleis vil være betinget av at generalforsamlingen vedtar kapitalforhøyelsen foreslått over.

Aksjonærer som ikke eier et antall aksjer som er delelig med 100 skal i forbindelse med gjennomføringen av aksjespleisen få sitt aksjeinnehav avrundet nedover, slik at aksjonæren får et helt antall aksjer. Brøkdelsaksjer vil ikke bli utstedt og aksjonærene vil ikke motta noen kompensasjon for avrundingen. Styret foreslår at generalforsamlingen vedtar at brøkdelsaksjene samles til hele aksjer og selges på Euronext Growth Oslo. Nettoinntektene fra dette salget skal tilfalle Selskapet.

Aksjonærer som ønsker å unngå at sitt aksjeinnehav avrundes nedover må sørge for å eie et antall aksjer som er delelig med 100 per dato for iverksettelse av aksjespleisen (dvs. eierregisterdatoen). Informasjon om dato for

- *(iv) Payment shall take place no later than one week after subscription to a separate share issue account.*
- *(v) The new shares will give full shareholder rights in the Company, including the right to dividends, from the time the share capital increase is registered with the Norwegian Register of Business Enterprises.*
- (vi) *The Company's estimated expenses in connection with the share capital increase are NOK 10,000.*
- (vii) *The Company's articles of association Section 4 shall be adjusted to reflect the new share capital and the new number of shares following the share capital increase.*

#### 8.2 - Proposal for reverse share split

The Board proposes to carry out a share consolidation in the ratio of 100:1, so that 100 existing shares, each with a par value of NOK 0.05, shall be consolidated to one share with NOK 5 in par value. The completion of such share consolidation will be conditional upon the general meeting approving the share capital increase proposed in item 8.1 above.

Shareholders who do not own a number of shares which can be divided by 100 shall in connection with the reverse share split have their shareholding rounded downwards, so that the shareholder receives a whole number of shares. Fractional shares will not be issued and the shareholder will not receive any compensation for the rounding. The Board proposes that the fractional shares will be added together to whole shares and sold at the Euronext Growth Oslo. The Company shall receive the net proceeds from such sale.

Shareholders that wish to avoid that their shareholding is rounded downwards must ensure that they hold a number of shares dividable by 100 as of the date of implementation of the share consolidation (i.e. the record date). Information on the date of iverksettelse av aksjespleisen vil bli gitt på et senere tidspunkt.

Det foreslås videre at styret gis fullmakt til å fastsette relevante nøkkeldatoer for aksjespleisen, herunder siste dag inklusive, exdato og eierregisterdato (record date). I forbindelse med aksjespleisen vil det også være nødvendig å endre ISIN på Selskapets aksjer. Nærmere informasjon om nøkkeldatoer og ISINskiftet vil bli gitt gjennom børsmeldinger på et senere tidspunkt.

Styret foreslår derfor at generalforsamlingen fatter følgende vedtak:

- (i) *Selskapets aksjer slås sammen (spleises) i forholdet 100:1, slik at 100 eksisterende aksjer, hver med pålydende verdi NOK 0,05, skal slås sammen til én aksje med pålydende verdi NOK 5.*
- (ii) *Styret fastsetter relevante nøkkeldatoer for aksjespleisen, herunder siste dag inklusive, ex-dato og eierregisterdato.*
- *(iii) Aksjonærer som ikke eier et antall aksjer som er delelig med 100 skal i forbindelse med gjennomføringen av aksjespleisen få sitt aksjeinnehav avrundet nedover, slik at aksjonæren får et helt antall aksjer. Brøkdelsaksjer vil ikke bli utstedt og aksjonærene vil ikke motta noen kompensasjon for avrundingen. Brøkdelsaksjene skal samles til hele aksjer og selges på Euronext Growth Oslo. Nettoinntekten fra salget skal tilfalle Selskapet.*
- (iv) *Fra ikrafttredelsestidspunktet endres vedtektenes § 4 slik at den korrekt reflekterer antall aksjer og pålydende etter aksjespleisen i tråd med denne. Vedtaket skal være effektivt fra tidspunktet for registrering av vedtektsendringen i Foretaksregisteret.*
- (v) *Vedtaket er betinget av at kapitalforhøyelsen som angitt i sak 8.1 er vedtatt og registrert i Foretaksregisteret.*

It is further proposed that the Board is given authorization to determine relevant key dates for the share consolidation, including last day including, ex-date and record date. In connection with the share consolidation, it will also be necessary to change the ISIN of the Company's shares. Further information on key dates and the change of ISIN will be given through stock exchange notices at a later time.

The Board therefore proposes that the general meeting passes the following resolution:

- (i) *The Company's shares shall be consolidated (reverse split) in the ratio of 100:1, such that 100 existing shares, each with a nominal value of NOK 0.05, shall be consolidated to one share with NOK 5 in par value.*
- (ii) *The Board of Directors determines the relevant key dates in connection with the reverse share split, including the last day including, ex-date and record date.*
- *(iii) Shareholders who do not own a number of shares which can be divided by 100 shall in connection with the reverse share split have their shareholding rounded downwards, so that the shareholder receives a whole number of shares. Fractional shares will not be issued and the shareholder will not receive any compensation for the rounding. The fractional shares will be added together to whole shares and will be sold at the Euronext Growth Oslo. The Company shall receive the net proceeds from such sale.*
- (iv) *As of the effective date of this resolution, Section 4 of the Articles of Association shall be amended to correctly reflect the number of shares and nominal value after the reverse share split as described above. The resolution shall be effective from the time when the amendment to the articles is registered in the Norwegian Register of*

## **Til sak 9 – Fullmakt til kapitalforhøyelse – generelle formål**

Styret foreslår at generalforsamlingen tildeler styret en fullmakt til å øke Selskapets aksjekapital med NOK 3 927 565, tilsvarende ca. 30% av Selskapets aksjekapital etter gjennomføring av kapitalforhøyelse og aksjespleis som foreslått i sak 8 over. Fullmakten vil kunne benyttes for, blant annet, å gjennomføre mindre kapitalforhøyelser på en rask og effektiv måte.

På denne bakgrunn foreslår styret at generalforsamlingen fatter følgende vedtak:

- (i) *Styret gis fullmakt til å forhøye aksjekapitalen med opp til NOK 3 927 565. Fullmakten vil før gjennomføringen av kapitalforhøyelsen og aksjespleisen omtalt i sak 8 over omfatte 78 551 300 nye aksjer, hver pålydende NOK 0,05, og etter gjennomføringen av nevnte kapitalforhøyelse og aksjespleis omfatte 785 513 nye aksjer, hver pålydende NOK 5.*
- (ii) *Tegningskurs og øvrige vilkår besluttes av styret.*
- (iii) *Fullmakten omfatter også kapitalforhøyelse ved innskudd i andre eiendeler enn penger og rett til å pådra Selskapet særlige plikter og innskudd ved motregning, jf. aksjeloven § 10-14 (2) nr. 4.*
- (iv) *Styret kan fravike fortrinnsretten for eksisterende aksjonærer til å tegne de nye aksjene, jf. aksjeloven § 10-4.*
- (v) *Fullmakten omfatter ikke beslutning om fusjon etter aksjeloven § 13-5.*
- (vi) *Styret gis fullmakt til å endre vedtektenes angivelse av aksjekapitalens størrelse i*

*Business Enterprises.*

(v) *This resolution is conditional upon the share capital increase included in item 8.1 above being resolved and registered in the Norwegian Register of Business Enterprises.*

# **To item 9 – Authorization to increase the share capital – general purposes**

The Board proposes that the general meeting grants the Board an authorization to increase the Company's share capital with up to NOK 3,927,565, corresponding to approximately 30% of the Company's share capital after completion of the share capital increase and reverse share split proposed in item 8 above. The authorization may be used, amongst other things, carry out minor share capital increases in a quick and effective manner.

On this background, the Board proposes that the general meeting passes the following resolution:

- (i) *The Board of Directors is given the authority to increase the share capital with up to NOK 3,927,565. The authorization will, prior to completion of the share capital increase and reverse share split discussed in item 8 above, comprise 78,551,300 new shares, each with a par value of NOK 0.05, and following completion of said share capital increase and reverse share split comprise 785,513 new shares, each with a par value of NOK 5.*
- (ii) *The subscription price and other subscription terms shall be determined by the Board of Directors.*
- (iii) *The authorization shall also include capital increases against contribution in kind and the right to subject the Company to specific obligations and contribution through setoff, cf. the Norwegian Private Limited Liability Companies Act section 10-14 (2) no. 4.*
- (iv) *The Board of Directors may deviate from the existing shareholders' preferential rights to*

*samsvar med de kapitalforhøyelser styret beslutter under denne fullmakten.*

(vii) *Fullmakten gjelder frem til den ordinære generalforsamlingen i 2026, men uansett ikke senere enn 30. juni 2026.*

#### **Til sak 10 – Fullmakt til kjøp av egne aksjer**

Styret foreslår at generalforsamlingen gir styret en fullmakt til å kjøpe egne aksjer med totalt pålydende beløp på inntil NOK 1 309 190, tilsvarende ca. 10% av Selskapets aksjekapital etter gjennomføring av kapitalforhøyelse og aksjespleis som foreslått i sak 8 over. En slik fullmakt vil gi styret fleksibilitet og handlingsalternativer blant annet i forbindelse med investeringer der vederlaget kan bestå av aksjer i Selskapet eller gjennom tilbakekjøp av aksjer med påfølgende sletting.

Utøvelsen av fullmakten vil alltid være underlagt det alminnelige prinsippet om likebehandling av aksjonærene. Videre er bruk av fullmakten betinget av at Selskapet har tilstrekkelig fri egenkapital og likviditet.

På denne bakgrunn foreslår styret at generalforsamlingen fatter følgende vedtak:

(i) *Styret kan erverve egne aksjer i Selskapet, ved en eller flere anledninger, med en samlet pålydende verdi på inntil NOK 1 309 190. Fullmakten omfatter også avtalepant i Selskapets aksjer.*

- (v) *The authorization does not include authorizations to resolve mergers pursuant to the Norwegian Private Limited Liability Companies Act section 13-5.*
- (vi) *The Board of Directors is given authorization to amend the articles of association regarding the size of share capital in accordance with such share capital increases as decided by the Board of Directors under this authorization.*
- (vii) *This authorization is valid until the annual general meeting in 2026, however not later than 30 June 2026.*

## **To item 10 – Authorization to acquire treasury shares**

The Board of Directors proposes that the general meeting grants the Board of Directors an authorization to acquire own shares with a total par value of up to NOK 1,309,190, corresponding to approximately 10% of the Company's share capital after completion of the share capital increase and reverse share split proposed in item 8 above. Such an authorization will give the Board of Directors flexibility and modes of actions, *inter alia*, in connection with investments where the consideration may consist of shares in the Company or through buybacks with a subsequent cancellation.

The exercise of the authorization will always be subject to the general principles on equal treatment of shareholders. An additional condition for exercise of the authorization is sufficient equity balance and liquidity.

On this background, the Board of Directors proposes that the general meeting passes the following resolution:

(i) *The Board of Directors is authorized to acquire own shares in the Company, on one or several occasions, with a par value of up to NOK 1,309,190. The authorization also includes contract liens in the shares of the* 

- (ii) *Styret står fritt med hensyn til hvilken måte erverv eller avhendelse av egne aksjer skal skje.*
- (iii) *Selskapet kan betale minimum NOK 0,05 per aksje og maksimum NOK 50 per aksje.*

## **Vedlegg 2 – Aksjeeiernes rettigheter, deltakelse og fullmakt**

Beslutninger om stemmerett for aksjeeiere og fullmektiger treffes av møteåpner, hvis beslutning kan omgjøres av generalforsamlingen med alminnelig flertall.

Dersom aksjeeiere ikke kan møte personlig, kan aksjeeieren møte og stemme i generalforsamlingen ved fullmektig. ## **Appendix 2 – Shareholders' rights, participation and proxy**

According to the Private Limited Liability Company Act section 5-12, the general meeting is opened by the Chairman. Shareholders are entitled to attend the general meeting, either in person or by proxy of their choice.

The Company has at the date of this notice a registered share capital of NOK 13,091,879.15 divided by 261,837,583 shares each having a par value of NOK 0.05. Each share carries one vote at the general meeting; however, shares held by the Company does not hold voting rights. As of the date of this notice, the Company owns no treasury shares.

Each shareholder is entitled to vote for the number of shares he or she owns, and which are registered on the Record Date. Shareholders may bring one or more advisors and give the right to speak to one advisor.

Decisions on voting rights of shareholders and proxies are made by the chairman of the meeting, whose decision may be overturned by the General Assembly by a simple majority.

If shareholders cannot attend in person, the shareholder may attend and vote at the General Meeting by proxy. The proxy and attendance slip attached as Appendix 3 to this notice may be sent to Nordea Issuer Services by e-mail to issuerservices.no@nordea.com within 23 June 2025 at 16.00. The proxy can also be brought along to the general meeting. If desired, such proxy may be given to the Chairman, Egil Melkevik, or whoever he appoints. Credentials for the proxy and the principal, and also a certificate of registration if the shareholder is a legal person, must be attached to the proxy.
