Report Content Zarząd DataWalk S.A. z siedzibą we Wrocławiu ("Spółka", "Emitent") informuje o wpływie do Spółki w dniu 4 czerwca 2025 r. wniosku akcjonariusza FGP Venture sp. z o.o., posiadającego 1 175 000 akcji, stanowiących 18,41% kapitału zakładowego, z żądaniem - na podstawie art. 401 § 1 Kodeksu spółek handlowych - uzupełnienia porządku obrad Zwyczajnego Walnego Zgromadzenia Spółki zwołanego na dzień 25 czerwca 2025 r. o punkt dotyczący podjęcia uchwały w sprawie zmiany zasad wynagradzania Członków Rady Nadzorczej.  

Wraz z wnioskiem, uprawniony Akcjonariusz przedłożył projekt uchwały w sprawie, o którą wnosił.  

Wobec powyższego Zarząd Emitenta informuje, że uzupełniony o pkt. 8 lit. k porządek obrad ZWZ obejmuje:  

1) otwarcie Zwyczajnego Walnego Zgromadzenia;  

2) wybór Przewodniczącego Zwyczajnego Walnego Zgromadzenia;  

3) stwierdzenie prawidłowości zwołania Zwyczajnego Walnego Zgromadzenia oraz jego zdolności do podejmowania uchwał;  

4) podjęcie uchwały w przedmiocie wyboru komisji skrutacyjnej albo odstąpienia od jej wyboru;  

5) przyjęcie porządku obrad;  

6) przedstawienie sprawozdania Zarządu z działalności Grupy Kapitałowej DataWalk oraz DataWalk S.A. za rok zakończony 31 grudnia 2024 roku, sprawozdania finansowego DataWalk S.A. za rok zakończony 31 grudnia 2024 roku, skonsolidowanego sprawozdania finansowego Grupy Kapitałowej DataWalk za rok zakończony 31 grudnia 2024 roku oraz wniosku Zarządu dotyczącego sposobu pokrycia straty netto za rok zakończony 31 grudnia 2024 roku;  

7) przedstawienie sprawozdania z działalności Rady Nadzorczej w roku zakończonym 31 grudnia 2024 roku obejmującego sprawozdanie z wyników oceny sprawozdania Zarządu z działalności Grupy Kapitałowej DataWalk oraz DataWalk S.A. za rok obrotowy zakończony 31 grudnia 2024 roku, sprawozdania finansowego DataWalk S.A. za rok zakończony 31 grudnia 2024 roku i skonsolidowanego sprawozdania finansowego Grupy Kapitałowej DataWalk za rok zakończony 31 grudnia 2024 roku oraz wniosku Zarządu dotyczącego sposobu pokrycia straty netto za rok zakończony 31 grudnia 2024 roku;  

8) podjęcie uchwał w przedmiocie:  

a. rozpatrzenia i zatwierdzenia sprawozdania Zarządu z działalności Grupy Kapitałowej DataWalk oraz DataWalk S.A. za rok zakończony 31 grudnia 2024 roku,  

b. rozpatrzenia i zatwierdzenia sprawozdania finansowego DataWalk S.A. za rok zakończony 31 grudnia 2024 roku,  

c. rozpatrzenia i zatwierdzenia skonsolidowanego sprawozdania finansowego Grupy Kapitałowej DataWalk za rok zakończony 31 grudnia 2024 roku,  

d. rozpatrzenia i zatwierdzenia sprawozdania z działalności Rady Nadzorczej w roku zakończonym 31 grudnia 2024 roku, obejmującego sprawozdanie z wyników oceny sprawozdania Zarządu z działalności Grupy Kapitałowej DataWalk oraz DataWalk S.A. za rok obrotowy zakończony 31 grudnia 2024 roku, sprawozdania finansowego DataWalk S.A. za rok zakończony 31 grudnia 2024 roku i skonsolidowanego sprawozdania finansowego Grupy Kapitałowej DataWalk za rok zakończony 31 grudnia 2024 roku oraz wniosku Zarządu dotyczącego sposobu pokrycia straty netto za rok zakończony 31 grudnia 2024 roku,  

e. sposobu pokrycia straty netto za rok zakończony 31 grudnia 2024 roku,  

f. udzielenia Członkom Zarządu Spółki absolutorium z wykonania obowiązków za rok zakończony 31 grudnia 2024 roku,  

g. udzielenia Członkom Rady Nadzorczej Spółki absolutorium z wykonania obowiązków za rok zakończony 31 grudnia 2024 roku,  

h. wyrażenia opinii o sprawozdaniu o wynagrodzeniach,  

i. zmiany Statutu Spółki poprzez udzielenie Zarządowi Spółki upoważnienia do podwyższania kapitału zakładowego Spółki w granicach kapitału docelowego z wyłączeniem prawa poboru akcjonariuszy Spółki w całości lub części,  

j. ustalenia maksymalnej Puli Jednostek RSU w ramach Programu RSU oraz maksymalnej Puli Uprawnień w ramach Programu akcyjnego,  

k. zmiany zasad wynagradzania Członków Rady Nadzorczej.  

9) zamknięcie obrad Zwyczajnego Walnego Zgromadzenia.  

Pełna treść ogłoszenia z uzupełnionym porządkiem obrad oraz projekty uchwał na Zwyczajne Walne Zgromadzenie Spółki zwołane na dzień 25 czerwca 2025 r., w tym projekt uchwały zgłoszony przez Akcjonariusza, stanowią załączniki do niniejszego raportu.  

Szczegółowa podstawa prawna:  

§ 19 ust. 1 pkt 3) i 4) rozporządzenia Ministra Finansów z dnia 29 marca 2018 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (Dz. U. poz. 757 z późn. zm.).  

The Executive Board of DataWalk S.A., with its registered office in Wrocław (the "Company", the "Issuer"), informs that on June 4, 2025, the Company received a request from a shareholder - FGP Venture sp. z o.o., holding 1,175,000 shares representing 18.41% of the share capital - to supplement the agenda of the Ordinary General Meeting of the Company convened for June 25, 2025 ("OGM"), pursuant to Article 401 § 1 of the Polish Commercial Companies Code, with an item concerning the adoption of a resolution on amending the rules for the remuneration of the Members of the Supervisory Board.  

Along with the request, the entitled Shareholder submitted a draft resolution concerning the matter proposed.  

In light of the above, the Executive Board of the Issuer announces that the agenda of OGM, has been supplemented under item 8, letter k, and now includes:  

1) opening of the Ordinary General Meeting;  

2) election of the Chairperson of the Ordinary General Meeting;  

3) confirmation of the proper convening of the Ordinary General Meeting and its ability to adopt resolutions;  

4) adoption of a resolution on the appointment of the ballot counting committee or the decision to waive its appointment;  

5) adoption of the agenda;  

6) presentation of the Executive Board's report on the activities of the DataWalk Capital Group and DataWalk S.A. for the year ended December 31, 2024, the financial statements of DataWalk S.A. for the year ended December 31, 2024, the consolidated financial statements of the DataWalk Capital Group for the year ended December 31, 2024, and the Executive Board's motion regarding the coverage of the net loss for the year ended December 31, 2024;  

7) presentation of the Supervisory Board's report on its activities in the year ended December 31, 2024, including an assessment of the Executive Board's report on the activities of the DataWalk Capital Group and DataWalk S.A. for the financial year ended December 31, 2024, the financial statements of DataWalk S.A. for the year ended December 31, 2024, the consolidated financial statements of the DataWalk Capital Group for the year ended December 31, 2024, and the Executive Board's motion regarding the coverage of the net loss for the year ended December 31, 2024;  

8) adoption of resolutions on:  

a. consideration and approval of the Executive Board's report on the activities of the DataWalk Capital Group and DataWalk S.A. for the year ended December 31, 2024,  

b. consideration and approval of the financial statements of DataWalk S.A. for the year ended December 31, 2024,  

c. consideration and approval of the consolidated financial statements of the DataWalk Capital Group for the year ended December 31, 2024,  

d. consideration and approval of the Supervisory Board's report on its activities for the year ended December 31, 2024, including the assessment of the Executive Board's report, standalone and consolidated financial statements, and the motion on coverage of the net loss,  

e. coverage of the net loss for the year ended December 31, 2024,  

f. granting discharge to the Members of the Executive Board for the performance of their duties in the year ended December 31, 2024,  

g. granting discharge to the Members of the Supervisory Board for the performance of their duties in the year ended December 31, 2024,  

h. expressing an opinion on the remuneration report,  

i. amending the Company's Articles of Association by authorizing the Executive Board to increase the share capital within the limits of authorized capital, with the exclusion of pre-emptive rights of the Company's shareholders in whole or in part,  

j. determining the maximum RSU Unit Pool under the RSU Program and the maximum Entitlement Pool under the Share Program,  

k. amending the rules for remuneration of the Members of the Supervisory Board.  

9) closing of the Ordinary General Meeting.  

The full text of the announcement with the updated agenda, as well as the draft resolutions for the Ordinary General Meeting of the Company convened for June 25, 2025, including the draft resolution proposed by the Shareholder, are attached to this report.
