Report Content Subject:Conclusion of a preliminary agreement forthe acquisition of real estate located in Warsaw by a subsidiary of theIssuer

Legal basis: article 17(1) of MAR - inside information

The management board of Archicom S.A. (the "Issuer")announces that on 27 March 2024, the Issuer's subsidiary, i.e. ArchicomWarszawa 2 spółka z ograniczoną odpowiedzialnością with its registeredoffice in Wrocław, as the buyer (the "Buyer") and MBPI spółka z ograniczoną odpowiedzialnością with its registered office inWarsaw, a subsidiary of Immofinanz Services Poland sp. z o.o., with itsregistered office in Warsaw, as the seller (the "Seller",and the Buyer together with the Seller hereinafter jointly referred toas the "Parties"), entered into a preliminary agreement forthe sale of real estate located in Warsaw held by the Seller underperpetual usufruct (the "Preliminary Agreement").

The transactional matter

Based on the Preliminary Agreement, the Partiesagreed that the Buyer will acquire the Seller's real estate, located inWarsaw, at Postępu 18A, 18B and Domaniewska 41, which consists of: theright of perpetual usufruct of land plots with cadastral numbers: 35(land and mortgage register no. WA2M/00186433/2), 34 (land and mortgageregister no. WA2M/00136970/3) and 33 (land and mortgage register no.WA2M/00172601/0).

Price

The value of the transaction (the "TransactionValue") is EUR 28,500,000.00 plus VAT.

Conditions precedent:

The Final Agreement shall be concluded if thesuspensive conditions specified in the Preliminary Agreement (the "ConditionsPrecedent") are fulfilled. The Conditions Precedent includedocuments and statements customarily submitted in transactions such asthe Transaction, inter alia: obtaining a tax ruling concerning theTransaction.

The Parties intend to conclude the Final Agreementafter the fulfilment or waiver by the relevant Party of all theConditions Precedent no later than on 30 September 2024 (the "FinalDate").

The conclusion of the Agreement is in line with theinvestment policy of the Issuer and aims at developing the Issuer'sactivity on the residential real estate market in Warsaw.
