Subject: Draft resolution on amendments tothe Bank's Statutes reported by the shareholder

The Management Board of Santander BankPolska S.A. hereby informs you that on 12 April 2024 it received fromthe shareholder - Banco Santander S.A. with the registered office inSantander (Spain) the draft of resolution no. 44 of the Annual GeneralMeeting convened for 18 April 2024 to be considered under item 17 of theagenda (draft resolution no. 44). Draft resolution no. 44 is themodification of the draft resolution of the Annual General Meetingcommunicated to the market in the current report no. 20/2024 of 21 March2024 with regard to changes to the Statutes. The draft introduces minorchanges which, in the shareholder's opinion are to reflect moreprecisely in the content of the Statutes the provisions introduced bythe Act of 16 August 2023 on amending certain acts in connection withensuring the development of the financial market and the protection ofinvestors in this market (Journal of Laws of 2023, item 1723).

The Bank supports the shareholder's opinionin this respect.

Draft resolution no. 44 as well as the fileshowing the change-tracked draft resolution no. 44, together with thecurrent wording of the Statutes of the Bank and the new proposed wordingare attached to this report. The updated file with draft resolutions ofthe Annual General Meeting convened for 18 April 2024 will be posted onthe Bank's website at: www.santander.pl/wza.
