DECLARATION

I, the undersigned, Artur Kucharski, holding my Personal Identification Number PESEL: …………. shall hereby consent to submit my candidacy for a Member of the Supervisory Board of Alior Bank Spółka Akcyjna with its registered office in Warsaw, hereinafter referred to as the "Company", and to publish this information along with my personal data in conjunction with the submission of my candidacy. Should I be appointed a Member of the Supervisory Board of the Company, I hereby consent to hold this position.

I hereby declare that I satisfy any and all requirements applicable to candidates for Members of the Supervisory Board of the Company, including in particular:

1)on my part there exist no conflict of interests in pursuing the position of a Member of the Supervisory Board of the Company. Additionally, let me declare that outside the Company I am neither involved in any competitive operations towards it nor do I perform any activities in companies or partnerships running competitive operations as a Member of a company bodies or a partner to a civil law partnership, partnership and that I do not participate in any operations of any other competitive legal person as a member of its bodies.

2)following the requirements laid down in Article 18 of the Act – Code of Commercial Companies and Partnerships of 15 September 2000 (consolidated text: Polish Journal of Laws of 2024, item 18 as amended), as for a candidate for a Member of the Supervisory Board, I enjoy full capacity to perform acts in law and that I have not been accused in any criminal proceedings held under the following laws: Chapter XXXIII-XXXVII of the Criminal Code and in Article 587, Article 590 and Article 591 of the Code of Commercial Companies and Partnerships and that I have not been convicted under a valid court judgment for any crimes referred to in the aforementioned laws;

3)I am not registered in the Register of Insolvent Debtors maintained under the Act on the National Court Register of 20 August 1997 (consolidated text: Polish Journal of Laws of 2023, item 685, as amended);

4)I satisfy the independence criteria of a Member of the Supervisory Board stipulated by the European Commission in the Appendix no. II to the Commission Recommendation of 15 February 2005 related to the role of non-executive directors or being members of Supervisory Boards of listed companies and (Supervisory) Board commission (EU Official Journal no. L.05.52.51), Article 129 of the Act on Chartered Accountants and Auditing Entities and Public Supervision of 11 May 2017 (Polish Journal of Laws of 2023, item 1015 as amended) and the additional requirements referred to in the Best Practices of the Companies Listed at the Warsaw Stock Exchange which are the Appendix to the Resolution No. 13/1834/2021 of the Stock Exchange Board of 29 March 2021;

5)I neither pursue a function nor hold any positions referred to in Articles: 1-2 of the Act on Restricting Business Operations by Persons Holding Public Functions of 21 August 1997 (consolidated text: Polish Journal of Laws of 2023, item 1090 as amended);

6)I shall consent to the processing and publishing my personal data within the scope required to submit my candidacy and be a Member of the Supervisory Board of the Company.
