("ORLEN", "Company") informs that the District Court in Płock, ICivil Department, ruled in one of the proceedings to repeal or declareinvalidity of the resolution no. 3/2022 of the Extraordinary GeneralMeeting of PGNiG S.A. of October 10, 2022 on the merger of the Companywith PGNiG S.A. and consent to the proposed amendments to the Articlesof Association of ORLEN (_quot;Resolution_quot;).The Court decidedto discontinue the proceeding with respect to the claim for repealingthe Resolution and for declaration of its invalidity due to theeffective withdrawal of the claim in this part, and also dismissed theclaim for determination of non-existence of the Resolution.Thejudgment is not final.See also: the regulatory announcement no90/2022 as of 12 December 2022.
