Management Board of QuarticOn S.A. [_quot;Company_quot;] informs that on May 30,2024, after talks with members of the Company's Supervisory Board, madea decision to take an actions that will lead to increase the Company'share capital by issuing new shares.

In accordance with the assumptions adopted today, after granting thenecessary corporate approvals, the Company plans to increase the sharecapital by establishing the new authorized share capital.

One of the main goals of the planned capital increase is to prepare anissue for the purposes of the Company's incentive program (so-calledESOP, Employee Stock Option Plan), the rules of which will be determinedat the General Meeting of Shareholders.

The Company will inform on a basis of appropriate reports about furthersignificant activities and decisions taken within the areas describedabove.
