Report Content Candidateto the Supervisory Board of the Company submitted by the shareholderTheManagement Board of Agora S.A. with its seat in Warsaw ("Company")hereby informs that on June 25, 2024, a shareholder of the Company -Otwarty Fundusz Emerytalny PZU _quot;Złota Jesień_quot; with its seat in Warsawrepresented by Powszechne Towarzystwo Emerytalne PZU S.A., representingat least 1/20 of the share capital of the Company ("Shareholder") filedinformation concerning intention to submit a candidate to theSupervisory Board of the Company during the Annual General Meetingconvened on June 28, 2024.Inaccordance with the information, the Shareholder intends to submit Mr.Jacek Levernes as the candidate to the Supervisory Board of the Company.JacekLevernes is a senior executive with +25 years of leadership experienceworking across CEE, Europe and globally. His specialties includebusiness development, shared services, operations and outsourcing,digital transformation, investment growth, as well as strategy andpublic affairs.Currently,Mr. Jacek Levernes is a Senior Advisor at the Boston Consulting Group,Chairman of the Supervisory Board of ICTSI Poland and Non-ExecutiveDirector at Skanska Commercial Development Europe.Mr.Jacek Levernes has studied and worked in Norway, Poland, Spain, Belgium,Switzerland, Singapore and the US.Inthe Shareholder's opinion, the candidate's professional career ensuresproper fulfillment of the function of an independent member of theSupervisory Board.Legalbasis: article 17, paragraph 1 of the Regulation of the EuropeanParliament and Council Regulation (EC) No. 596/2014 of 16th of April,2014 on market abuse (Regulation on Market Abuse), and repealingDirective 2003/6/EC of the European Parliament and of the Council andthe Commission Directive 2003/124/EC, 2003/125/EC and 2004/72/EC.
